Delivery of Vacant Possession. 11.2.1 Subject to the Vendor’s receipt of the Balance Purchaser Price in accordance with Clause 3 above, vacant possession of the entire Property shall be delivered by the Vendor to the Purchaser five (5) Business Days from the Vendor’s Solicitors’ receipt of the Balance Purchase Price (“VP Date”).
11.2.2 In the event that vacant possession is not delivered in accordance with Clause 11.2.1 above, the Vendor shall pay to the Purchaser late delivery charges at the rate of Eight percent (8%) per annum on the Purchase Price to be calculated on a day to day basis commencing from the date immediately following expiry of the said five (5) Business Days period until the actual delivery of vacant possession to the Purchaser Provided Always that nothing herein contained shall prejudice the other rights and remedies as may be available to the Purchaser at law or in equity.
Delivery of Vacant Possession. Subject to the Tenant making the payments in Clause 2.1(b), the Landlord shall deliver vacant possession of the Property on or prior to the Commencement Date.
Delivery of Vacant Possession. The Purchaser will have vacant possession of the Strata Lot on the day following the Completion Date after payment of the Purchase Price in full.
Delivery of Vacant Possession. 3.1 Vacant possession of the Land on an 'as is where is' basis together with all existing structures, if any thereon or therein, shall be delivered or deemed to have been delivered to the Lessee on the Effective Date subject to the payment of all monies and the signing of all documents by the Lessee as required under this Agreement.
3.2 Possession of Parcel 1 excluding the Subterranean CST Stratum and the Subterranean RTS Stratum is to be delivered to the Lessee on the Effective Date subject to the payment of all monies and the signing of all required documents by the Lessee as mentioned in Clause 3.1. In the event of any determination by the Government and the Urban Redevelopment Authority pursuant to Clause 13D that only part of the Subterranean CST Stratum is to be excluded from Parcel 1, possession of such part of the Subterranean CST Stratum that is to be included as part of Parcel 1 as determined by the Government and the Urban Redevelopment Authority shall with effect from the date of such determination be deemed to have been delivered to the Lessee as from the Effective Date and the Lessee shall not raise any objection in relation thereto. The lease to be granted to the Lessee pursuant to Clause 2 of this Agreement shall with respect to Parcel 1, be for Parcel 1 excluding the Subterranean Government CST Stratum (as so determined by the Government and the Urban Redevelopment Authority) and the Subterranean RTS Stratum.
3.3 Possession of the Subject Parcels is to be delivered to the Lessee for purpose of the construction of the public underground or elevated pedestrian connections therein in accordance with the Planning Parameters but the lease to be granted to the Lessee pursuant to Clause 2 of this Agreement shall, with respect to the Subject Parcels, be for only the Subterranean/Air-space Lots.
3.4 Subject to Clause 3.3, the Lessee shall have no right or interest whatsoever in or with respect to the Subject Parcels save for the Subterranean/Air-space Lots, and upon completion (as part of the Completion of the IR2) of the subterranean or elevated pedestrian connections on or within each of the Subject Parcels:
(i) save for the Subterranean/Air-space Lots, the Lessee shall vacate all other parts of the Subject Parcels; and
(ii) possession of the Subject Parcels (excluding the Subterranean/Air-space Lots), shall be deemed to have been vacated by the Lessee and handed back to the Lessor DA.20190403v4 without the requirement for any action or notice on...
Delivery of Vacant Possession. Upon termination of this Lease, the Tenant shall deliver vacant possession of the Premises to the Landlord. The Landlord shall determine, at its unfettered discretion if the Tenant is to restore the Premises to the same condition and state of repair as it was at the beginning of the Term. If the Landlord so chooses, any additions or changes, whatsoever, made by the Tenant, with or without the approval or knowledge of the Landlord, shall be removed or changed back and any damage done by such restoration and removal shall be good and sufficiently repaired by the Tenant prior to the end of the Term at the Tenant’s sole cost and expense.
Delivery of Vacant Possession. The Lessor shall deliver the vacant possession of the Land and without any encumbrances to the Lessee upon the payment of the Initial Payment as set out in Section 6(i) of the First Schedule. Nevertheless, in any event if the Lessee is prohibited by the Lessor or its agent from entering and utilising the Land for any reason whatsoever, the vacant possession of the Land shall not be deemed to have been delivered to the Lessee.
Delivery of Vacant Possession. Vacant possession of the Property shall be delivered by the Vendor to the Purchaser within Five (5) Business Days from the Vendor’s receipt of the full Balance Purchase Price together with the late payment interest (if any). In the event the Vendor delays delivery of vacant possession to the Purchaser, the Vendor shall pay to the Purchaser interest at Eight per centum (8%) per annum on the full Purchase Price calculated on a daily basis from the day vacant possession ought to be delivered to the date of actual delivery of vacant possession. Provided Always That if delivery of vacant possession is delayed due to the Purchaser’s failure or delay to pay any late payment interest and/or due to the failure of the Purchaser to accept vacant possession for any manner whatsoever (unless due to the fault of the Vendor), then the Vendor’s Solicitors are authorised to release the Balance Purchase Price to the Vendor upon the Vendor delivering the keys of the Property to the Vendor’s Solicitors as stakeholders with authority to the Vendor’s Solicitors to release the keys to the Purchaser only upon full settlement by the Purchaser of any late payment interest. The actual day on which vacant possession is delivered to the Purchaser shall be referred to as the “Date of Vacant Possession”.
Delivery of Vacant Possession. Vacant possession of the said Property shall be handed over to the Purchaser upon the payment of the Balance Purchase Price together with interest (if any) and the apportionment of the outgoings mentioned in Clause 10 hereof.
Delivery of Vacant Possession. Subject to the Developer’s observance of all the terms and conditions thereof, vacant possession of the Land shall be delivered to the Developer on an as-is-where- is basis within five (5) business days from the Unconditional Date.
Delivery of Vacant Possession. 11.1 The Parties hereby expressly agree that vacant possession of the Properties shall be delivered to the Purchaser by the Vendor upon payment of the Balance Purchase Price with the Vendor's Solicitors, failing which the Vendor shall pay to the Purchaser interest at the rate of 8% per annum on the Purchase Price from the due date for delivery of the vacant possession to the date of actual delivery of the smile.
11.2 The Properties shall be deemed to have been inspected by the Purchaser and the Purchaser shall be deemed to have purchased and accepted the same in the condition and state in which the same at the time of obtaining vacant possession thereof and the Purchaser shall not be entitled to rescind this Agreement or to make any claim for any compensation or reduction of the Purchase Price or claim for any damages in respect of the condition or state thereof
11.3 In the event that non-completion of the sale and purchase of the Properties as provided herein in this Agreement for any reason whatsoever that Purchaser shall re-deliver vacant possession of the Properties to the Vendor in such condition as Clause 11.2 above (fair wear and tear excepted).
