Describe the consequences/. SLA remedies if disaster recovery metrics are not met. RETARUS RESPONSE: Retarus SLAs are flexible and negotiable, but standard remedy is below. Claim for Credit. If Retarus fails to satisfy any of the foregoing Service Level Standards of this SLA, in each case unless due to a Force Majeure event or any other reason outside the Retarus System, Retarus shall credit to Customer, as Customer’s sole remedy, liquidated damages in the amount of 15 % of the monthly Base Fees set forth in Exhibit A to this Agreement, limited per month to a total of 60% of the monthly Base Fees if both the average availability falls below 99.5% or 98% respectively as set forth in Section 1 of this SLA and the time for initiation of outbound dialing or inbound delivery, respectively exceeds an average of fifteen minutes as set forth in Section 2 of this SLA. Similarly, in the unlikely event that more than three (3) Messages shall be lost within the Retarus System in any month, and not due to an event of Force Majeure, or any other reason outside the Retarus System, as Customer’s sole remedy Retarus shall both credit Customer the cost of each lost message and Customer’s reasonable costs and expenses incurred to repair or restore the Messages, if and to the extent the Customer properly stored the Messages, subject to the limitations of liability set forth in the Agreement to which this SLA is attached. Credit that is not used shall expire six (6) months after the month in which it is issued. Any credit issued to the Customer hereunder shall be set off against and reduce any liability of Retarus payable pursuant to Limitations of Liability Section of the Agreement to which this Exhibit C is attached. Exclusive Remedy. The service fee adjustments outlined in this Service Level Agreement shall be Retarus’ sole liability and Customer’s sole remedy for failure to meet the Service Levels outlined in this Service Level Agreement.

  • Financial Consequences The Department reserves the right to impose financial consequences when the Contractor fails to comply with the requirements of the Contract. The specific limited warranties set forth in this SONIFI Limited Warranty do not apply to damage or failure to Equipment or Licensed Software or inability to perform resulting from Company’s failure (i) to comply with the Agreement (including the SOW, the Licensed Software Terms and the Service Terms) or (ii) to follow Documentation or oral or written instructions from SONIFI personnel or the applicable hardware manufacturer, hardware supplier, software developer or software publisher pertaining to the Headend Equipment, In-Room Equipment, Licensed Software and/or Updates.
