DEVELOPER’S CONSENT. As used in this Article 12, “Developer’s Consent” means the prior written consent of CP Development Co., LP, except to the extent that the right to provide such consent (i) has been Transferred under Article 21, in which case Developer’s Consent shall mean the prior written consent of the applicable Transferee, (ii) has been pledged to a Mortgagee, in which case Developer’s Consent shall also mean the prior written consent of the Mortgagee to the extent the Mortgage documentation so requires or (iii) has been Transferred under Article 17, in which case Developer’s Consent shall mean the prior written consent of the applicable Vertical Developer; provided, that Developer’s Consent shall only apply to a Party if that Party is affected by the proposed Amendment Action. Any Person entitled to give Developer’s Consent shall have the right to grant or deny such consent in its sole discretion. Developer’s Consent shall not be required of a Person that is then in Material Breach unless and until the Material Breach has been cured.
DEVELOPER’S CONSENT. The Developer consents to the Owner entering into this Agreement for the purposes of securing the covenants and obligations contained in this Agreement however the Developer shall not be personally bound by the said covenants and obligations and shall otherwise have no liability under this Agreement unless and until and except to the extent that it becomes a successor in title to the Owner to the Site or part thereof
DEVELOPER’S CONSENT. Developer hereby consents and agrees to the terms and conditions of this Agreement; provided that nothing contained herein shall, as between Developer on one hand and Sayreville, LLC on the other, modify the terms of the Partnership Agreement. Furthermore, the parties hereto hereby acknowledge and agree that, except as otherwise expressly set forth in Section 2 hereof, the acknowledgements, agreements and covenants on the part of Sayreville, LLC and/or Prudential herein contained are for the benefit of Lender and shall not be deemed to constitute a modification of the Partnership Agreement.
DEVELOPER’S CONSENT. The Developer consents to the completion of this deed and declares that its interest in the Property shall be bound by the terms of this deed PROVIDED THAT the Developer shall not be personally liable for any breach of the obligations unless or until the Developer completes the purchase of the freehold interest in the Property having acquired it pursuant to its contractual interest in the Property.
DEVELOPER’S CONSENT. The Developer acknowledges and declares that this Deed has been entered into by the Owner with its consent and that the Site shall be bound by the obligations contained in this Deed PROVIDED THAT the Developer shall otherwise have no liability under this Deed unless and until it acquires a freehold interest in the Site in which case it will be bound by the obligations as a person deriving title from the Owner.
DEVELOPER’S CONSENT. The Developer consents to the completion of this deed and declares that its interest in the Old Street Land the Newgate Lane North Land and the Newgate Lane South Land shall be bound by the terms of this deed PROVIDED THAT the Developer shall not be personally liable for any breach of the obligations unless or until the Developer completes the purchase of a freehold or leasehold interest in the Old Street Land the Newgate Lane North Land and/or Newgate Lane South Land as appropriate.
DEVELOPER’S CONSENT. 8.1. The Developer acknowledges and declares that:
8.1.1. this Deed has been entered into by the Owner with its consent; and
8.1.2. the Owner’s interest shall be bound by the obligations in this Deed PROVIDED ALWAYS THAT the Developer shall otherwise have no liability under this Deed unless and until it becomes a successor in title to the Owner in which case the Developer too will be bound by the obligations in this Deed as a person deriving title from the Owner.
DEVELOPER’S CONSENT. Developer has joined herein to evidence its consent to all the agreements of Contractor contained in this Agreement. DEVELOPER’S CONSENT. 21.1. The Developer hereby consents to the Owner entering into this Deed and the Application Site being bound by the obligations contained herein PROVIDED THAT the Developer shall have no liability under this Deed (except as expressly set out in this Deed ) unless the Developer becomes a successor in title to the Owner’s interest in which case the Developer too will be bound by the obligations in this Deed as a person deriving title from the Owner and its interest in the Application Site shall take effect subject to this Deed. DEVELOPER’S CONSENT. Developer is a party to this Agreement solely for the purpose of evidencing Developer's consent to this Agreement and the terms hereof, including, without limitation, the provisions of Section 3 hereof.
