Development License Grant. Subject to the terms and conditions of this License Agreement, and upon payment of the applicable fees, for the applicable term (perpetual or subscription/time-limited) as is set forth in a distribution addendum to this License Agreement, any addendum or amendment to this License Agreement, or an Order, Rogue Wave grants to Licensee a nonexclusive, nontransferable, limited right and license to: (a) permit Licensed Developers to install and use the Licensed Software, on a per product, or per module, of the Licensed Software basis, in source or binary code form, as applicable, for the sole purpose of creating and testing Applications; and (b) copy or have copied the Licensed Software as necessary for the purpose of exercising the rights granted under this Section 2.1 or for back-up or disaster recovery purposes, provided that Rogue Wave’s copyright notice and other proprietary rights notices are reproduced on each copy.

For purposes of clarity, this development license grant in Section 2.1 does not include any right or license to distribute the Ultralight software or to publicly display or publicly perform Licensed Products utilizing the Ultralight software.

Notwithstanding the foregoing nonexclusive license grant, Duramed shall not undertake clinical trials of a Collaboration Product in any European Union country in the Shire Territory without first obtaining the prior written consent of Shire.

Development License Grant. Subject to Licensee's continuous compliance with the terms and restrictions set forth herein, for each license of the Licensed Software purchased by Licensee and set forth on the Transaction Document, Company grants Licensee a non- exclusive, non-transferable, non-sublicensable, worldwide right and license for the number of Developer(s) listed in the Transaction Document to install, use and access the Licensed Software for internally designing, developing, testing and creating Value-Added Solution(s) on the number of Desktop/Workstation(s) or Server(s) listed in the Transaction Document.
Development License Grant. With respect to any Licensed Software provided by Mercury to Licensee which is listed as covered by a “Development License” on an Accepted Purchase Order (“Development Software”), Mercury hereby grants to Licensee, subject to Licensee’s compliance with the terms and conditions of this Agreement and such Accepted Purchase Order, a limited, non-exclusive, non-transferable, non-assignable and non-sublicenseable license to (i) internally install and use the Development Software only on the supported equipment in Licensee’s facility solely for the internal development and support of Licensee Software and/or Licensee Applications; and (ii) make a reasonable number of copies of the Development Software for archival purposes, consistent with Licensee’s standard archive procedures (such license, the “Development License”).
Development License Grant. Subject to the terms and conditions of this Agreement and for valuable consideration, Sigma grants to Company a non-exclusive, non-transferable, royalty-free license to use the Sigma Program solely to develop Applications for Company Products that exclusively utilize Z-Wave radio. Company may modify the sample source code included in the Sigma Program and include all or part of such sample source code in a Company Application; use and link the Z-Wave communication protocols (“Z-Wave Protocols”) as needed for an Application; provided, however, that the Z-Wave Protocols may not be modified, decompiled, or reverse-engineered in any form or any manner. No implied license is granted and all rights not expressly granted herein to Company are retained by Sigma and its licensors.
