Devotion. Except as heretofore or hereafter excepted by the Company in writing, during the term of this Agreement, Executive (i) shall devote full time and attention to the foregoing responsibilities, (ii) shall not engage in any other business or other activity which may materially interfere with Executive’s performance of said responsibilities, and (iii) except as to any investment made in a publicly traded entity not amounting to more than 1% of its outstanding equity, shall not, directly or indirectly, as an employee, consultant, partner, principal, director or in any other capacity, engage or participate in any business that is in competition with the Company.

Devotion. (a) Subject to the terms of Section 2(b) below, during the Term, Employee shall faithfully perform to the best of his ability and in a satisfactory manner all services and acts necessary or advisable as both (i) are consistent with his title and position and (ii) may reasonably be assigned to him by any of the persons described in Section 1 above. In addition, during the Term, Employee shall devote his business time, skill and energies exclusively to the business of the Company and its subsidiaries and affiliates from time to time (the "Subsidiaries").
Devotion. (a) During the Term, Employee shall devote his business time, skill and energies exclusively to the business of Company and its subsidiaries from time to time (the "Subsidiaries"), which shall include Sno-Core, LLC, notwithstanding that Company has less than a fifty percent (50%) interest therein.

Devotion a) The Consultant will devote such of his business time, attention, skill and energy as are necessary to perform his duties hereunder, use his best efforts to promote the success of the Company in accordance with all applicable laws, and cooperate fully with the Company in the advancement of the best lawful interests of the Company.
Devotion. During the term of this Agreement, Executive (i) shall devote the necessary skill, vision, and time and attention to the foregoing responsibilities; (ii) Executive will continue to render commercial and professional services as CEO of Fe3 Medical Inc., a privately-held company, with full knowledge and approval by the Board of Directors, but shall not engage in any other business or other activity which may materially interfere with Executive’s performance of said responsibilities without the prior written consent of the Company's Board of Directors; and (iii) except as to any investment made in a publicly-traded entity not amounting to more than one percent (1%) of its outstanding equity, shall not, directly or indirectly, as an employee, consultant, partner, principal, director or in any other capacity, engage or participate in any business that is in competition with the Company.
Devotion. Throughout the Employment Period, Employee will: (i) devote a sufficient amount of his business energies, interests, abilities and time in order to fulfill his duties to Company hereunder and to any subsidiaries and affiliates of Company, which shall be at least forty (40) hours per week; (ii) observe and carry out such reasonable and lawful rules, regulations, policies, directions and restrictions as may be established from time-to-time by the Managers, including the standard policies and procedures of Company as in effect from time-to-time; and (iii) do such traveling as may reasonably be required in connection with the performance of such duties and responsibilities.

Devotion. The Consultant agrees to (A) consistent with the terms of this Agreement, devote the Consultant’s business time, attention, skill, and energy to the business of the Company and the Tower Companies, (B) use the Consultant’s best efforts to promote the success of the Company’s and the Tower Companies’ businesses in accordance with all applicable laws, and (C) cooperate fully with the Board and the Company in the advancement of the best interests of the Company and the Tower Companies; provided, however, that notwithstanding the foregoing, the Consultant shall not be required to spend more than an average of three (3) days per week on Company Business.
Devotion. Except as heretofore or hereafter excepted by the Company in writing, during the term of this Agreement, Executive (i) shall devote full time and attention to his responsibilities as President, (ii) shall not engage in any other business or other activity which may materially interfere with Executive’s performance of said responsibilities, and (iii) except as to any investment made in a publicly traded entity not amounting to more than 5% of its outstanding equity, shall not, directly or indirectly, as an employee, consultant, partner, principal, director or in any other capacity, engage or participate in any business that is in competition with the Company or NovaBay; provided, however, that Executive may serve in any capacity with any civic, educational or charitable organization, provided such services do not reasonably interfere with Executive’s obligations to the Company and NovaBay. The Company and NovaBay agree and acknowledge that Executive’s performance of professional medical services as a doctor in the geographic locales where Executive is licensed to perform such services shall not be considered a violation of this Section I(C.) or this Agreement so long as such activities do not reasonably interfere with Executive’s obligations to the Company and NovaBay, and Executive does not violate the covenants in Section V.
