Diminution of Responsibility. (A) A material diminution in Executive’s status, title, position or responsibilities as in effect immediately prior thereto; (B) the assignment to Executive of any duties or responsibilities which are materially inconsistent with such status, title, position or responsibilities; or (C) any removal of Executive from or failure to reappoint Executive to the position of President and Chief Executive Officer, except in connection with the termination of Executive’s employment as provided for elsewhere in this Agreement;
Diminution of Responsibility. Any material reduction in Executive’s duties or responsibilities as in effect immediately prior thereto, or assignment of duties materially inconsistent with Executive’s title and authority;
Diminution of Responsibility. (A) Any material reduction in Executive’s duties or responsibilities as Chief Financial Officer as in effect immediately prior thereto (other than a reduction where Executive is provided with other duties or responsibilities substantially comparable to Executive’s overall duties and responsibilities prior to such reduction) or (B) removal of Executive from the position of Chief Financial Officer of the Company, except, in each case, in connection with the termination of Executive’s employment for Disability, Cause, as a result of Executive’s death or by Executive other than for Good Reason ;
Diminution of Responsibility. (A) A change in the Executive’s status, title, position or responsibilities (including reporting responsibilities) which in the Executive’s reasonable judgment constitutes a material diminution in the Executive's status, title, position or responsibilities (including reporting responsibilities) as in effect immediately prior thereto; or (B) the assignment to the Executive of any duties or responsibilities (including reporting responsibilities) which are in the Executive’s reasonable judgment materially inconsistent with such status, title, position or responsibilities (including reporting responsibilities); or (C) any removal of the Executive from or failure to reappoint the Executive to the position of the CEO, except in connection with the termination of the Executive's employment as provided for elsewhere in this Agreement;
Diminution of Responsibility. (A) Any material reduction in Executive’s duties or responsibilities as President & Co-Head Bausch & Lomb/International, as in effect immediately prior thereto (other than a reduction where Executive is provided with other duties or responsibilities substantially comparable to Executive’s overall duties and responsibilities prior to such reduction) or (B) removal of Executive from the position of President & Co-Head Bausch & Lomb/International of the Company, except, in each case, in connection with the termination of Executive’s employment for Disability, Cause, as a result of Executive’s death or by Executive other than for Good Reason;
Diminution of Responsibility. If the Company diminishes Employee's responsibilities or removes from Employee the title of President or Chief Executive Officer, Employee may terminate his employment, receive severance as defined under Section 12 subsection B of this Agreement, and not be subject to the Restrictive Covenants as defined under Section 6 of this Agreement.
Diminution of Responsibility. (A) Any material reduction in Executive’s duties or responsibilities as (i) Chief Executive Officer of the Pharma Business between the Initial Commencement Date and the Bausch Pharma Commencement Date or (ii) Chief Executive Officer of the Company following the Bausch Pharma Commencement Date, in each case as in effect immediately prior thereto (other than a reduction where Executive is provided with other duties or responsibilities substantially comparable to Executive’s overall duties and responsibilities prior to such reduction) or (B) removal of Executive from the position of (i) Chief Executive Officer of the Pharma Business between the Initial Commencement Date and the Bausch Pharma Commencement Date or (ii) Chief Executive Officer of the Company following the Bausch Pharma Commencement Date (or, following a Change in Control or a corporate restructuring, removal from the position of Chief Executive Officer of the ultimate parent company of the resulting entity), except, in each of (A) and (B), in connection with (1) the termination of Executive’s employment for Disability, Cause, as a result of Executive’s death or by Executive other than for Good Reason, or (2) for the avoidance of doubt, the changes in the Executive’s position and reporting relationship contemplated by Section 2(a);
Diminution of Responsibility. (A) A diminution in Executive's title or position as in effect immediately prior thereto; (B) a material diminution in Executive's status, title, or responsibilities (including reporting responsibilities) as in effect immediately prior thereto (including, but not limited to, as Good Reason, the Company's becoming a subsidiary of another entity and Executive's not having the same position with the ultimate parent entity that he had with the Company immediately prior to the Company's becoming a subsidiary); (C) the assignment to Executive of any duties or responsibilities that are materially inconsistent with such status, title, position or responsibilities; (D) any removal of Executive from or failure to reappoint or reelect Executive to the position of President and Chief Operating Officer, except in connection with the termination of his employment for Disability, Cause, as a result of his death or by Executive other than for Good Reason, or except as a result of his appointment as President and Chief Executive Officer; (E) any removal of Executive from or failure to reappoint or reelect Executive (or appointment or election of any other person) to the position of Chief Executive Officer once Executive is so elected, except in connection with the termination of his employment for Disability, Cause, as a result of Executive's death or by Executive other than for Good Reason; or (F) if Executive has become a member of the Board, any removal of Executive from or failure to reappoint or reelect him as a member of the Board, except in connection with the termination of Executive's employment for Disability, Cause, as a result of Executive's death or by Executive other than for Good Reason;
Diminution of Responsibility. (A) any material reduction in your duties or responsibilities as in effect as of the date hereof, (B) removal of you from the positions of Executive Vice President, General Counsel and Chief Legal Officer, or Head of Corporate and Business Development of the Company (and, following a Change in Control, removal from any of these positions of the ultimate parent company of the resulting entity), (C) your ceasing to be the most senior legal officer of the Company (and, following a Change in Control, ceasing to be the most senior legal officer of the ultimate parent company of the resulting entity), or (D) your ceasing to report directly to the Chief Executive Officer of the Company (and, following a Change in Control, ceasing to report directly to the Chief Executive Officer of the ultimate parent company of the resulting entity). For the avoidance of doubt, the provisions of this Section 6(e)(i) shall not be triggered upon any event or circumstance resulting from your promotion, your death or Disability, the termination of your employment for Cause, or your termination of your employment other than for Good Reason;
Diminution of Responsibility. If the Company diminishes Employee's responsibilities or removes from Employee the title of Executive Vice President for Marketing and Sales, Employee may terminate his employment, receive severance as defined under Section 12 subsection B of this Agreement, and not be subject to the Restrictive Covenants as defined under Section 6 of this Agreement.
