Directory Cover. Attached hereto is Exhibit 5.2, which is the prototype for the covers of the Directories. During the term hereof, and unless otherwise expressly agreed to in writing by the parties hereto, the cover of each Directory shall be substantially similar to the attached prototype, with minor variations permitted only to accommodate different sizes of covers. The advertisement featuring the Licensed Marks shall always be placed in the top position, as indicated in Exhibit 5.2. However, ▇▇▇▇▇▇ and the Telephone Company acknowledge that the Directory Publisher has existing agreements with advertisers concerning cover space on the Directories in the states of Illinois and Wisconsin and on the Cincinnati/Northern Kentucky and ▇▇▇▇▇▇/▇▇▇▇▇▇ Directories in the state of Ohio that may prevent it from placing the advertisement containing the Licensed Marks in such position. The Directory Publisher shall use all commercially reasonable efforts to place the advertisement containing the Licensed Marks in the first position, as indicated on Exhibit 5.2, and in those cases where it cannot do so, it will provide ▇▇▇▇▇▇ and the Telephone Company with comparable cover advertising (e.g., corner cut or spine). Each party shall cooperate with the others in connection with the approval of any changes to the attached prototype that a party may request. In consideration of the advertising space provided by the Directory Publisher pursuant to this Section 5.2 , Section 5.3 and Section 5.4, the Telephone Company and ▇▇▇▇▇▇ have agreed to enter into this Agreement and will not be required to pay additional consideration to the Directory Publisher.
Directory Cover. The outside front cover of any Primary Directory shall be selected by the mutual agreement of Publisher and SureWest, and Publisher and SureWest shall cooperate to assure that such outside front cover reflects the image sought to be presented by SWT in the Service Area, and an appropriate service and community orientation, and accurately communicates the information that Publisher and SureWest mutually deem appropriate for such cover.
Directory Cover. Attached hereto is EXHIBIT 5.2, which is a representative copy of a Directory cover that will serve as the basis for interpreting the obligations set forth in this Section 5.2. During the term hereof, and unless otherwise expressly agreed to in writing by the parties hereto, the name and logo of the Telephone Company and/or one or more of the Licensed Marks will appear clearly and conspicuously across the outside bottom quartile of the front cover and the spine of the Directories in the format and style, and in the location, specified by the Telephone Company consistent with past practice. Additionally, the Telephone Company may advertise its products and/or services in the upper right-hand corner of each Directory in the "tab" or "dog ear" (as such terms are used in Section 7.1) in a manner consistent with past practice. Specifically, such space shall be of a color, size and placement that is consistent with past practice. The Telephone Company shall specify the content (including copy and font size) of such advertisements. In consideration of the advertising space provided by the Directory Publisher pursuant to this Section 5.2 and pursuant to Section 5.3, the Telephone Company will pay the Directory Publisher an annual advertising fee of $ [o]million in equal monthly installments.

  • Primary Coverage Contractor’s insurance shall apply as primary and shall not seek contribution from any insurance or self-insurance maintained by, or provided to, the additional insureds listed above including, at a minimum, the State of Washington and/or any Purchaser.   • Family Coverage The employee’s cost for family coverage will be nineteen and one-half percent (19.5%) of the family rate for the employee’s Base Medical Plan. If the employee chooses a plan other than the Base Medical Plan, the employee’s cost will be the standard employee’s family rate established for that plan (i.e. the rate applicable where it has not been modified to be a zone’s Base Medical Plan). The employer shall pay the rate over and above the employee’s cost for the Base Medical Plan.

  • Directory To participate in the MnDOT TGB program, a business must be certified at the time of contract execution. Certified Targeted Group Businesses are listed in the Directory of Certified Targeted Group, Economically Disadvantaged and VET Vendors. MnDOT makes no representation as to any TGB’s technical or financial ability to perform the work. Prime contractors are solely responsible for performing due diligence in hiring TGB firms. A TGB’s failure to perform the work will not be considered justification for a compensation increase or time extension.
