Dishonest Acts. Any actual or alleged dishonest, fraudulent, criminal or malicious act or wilful error or omission committed by any Insured. This exclusion does not apply to any Insured that did not participate in or know about the dishonest act(s). However, this exclusion will be applied to all Insureds if the dishonest act(s) is done with the consent or knowledge of the Named Insured or any of the Named Insured’s directors, partners or executive officers. This Policy does not apply to any Claim based upon, arising out of, directly or indirectly resulting from, in consequence of, or in any way involving, attributable or related, in whole or in part, to:

Dishonest Acts. Any fraudulent or dishonest act or acts committed by you, or your partners, members, officers, managers, employees, directors, trustees or authorized representatives, whether acting alone or in collusion with any other party; or theft by any person to whom property may have been entrusted (other than a carrier for hire). However, a willful act of destruction by your employee to Covered Property without the knowledge of you, or your partners, members, officers, managers, directors, trustees or authorized representatives is covered.
Dishonest Acts. In addition to Employer’s absolute discretionary right to terminate Employee’s “at-will” employment with Company for any reason or no reason, if Employer determines Employee has engaged in an act of theft, embezzlement, misappropriation of funds or property, breach of security, insubordination, or of fraud against or with respect to Employer’s business (collectively referred to as “Dishonest Act”) or that Employee has otherwise materially breached this Agreement, Employer may immediately terminate Employee and Employer shall solely be required to provide Employee written notice that Employee has been immediately terminated under this provision, and any otherwise owed compensation shall be immediately subject to offset for any and all monies lost by Employer due to any Dishonest Act.
Dishonest Acts. WSRMP does not cover the willful violation of a penal statute or ordinance or court order or dishonest acts committed by or with the knowledge and consent of the District.

  • Criminal Convictions Grantee certifies that neither it nor any officer, director, partner or other managerial agent of Grantee has been convicted of a felony under the Xxxxxxxx-Xxxxx Act of 2002, nor a Class 3 or Class 2 felony under Illinois Securities Law of 1953, or that at least five (5) years have passed since the date of the conviction. Grantee further certifies that it is not barred from receiving an Award under 30 ILCS 500/50-10.5, and acknowledges that Grantor shall declare the Agreement void if this certification is false (30 ILCS 500/50-10.5).

  • No Felony Criminal Convictions Contractor represents that neither Contractor nor any of its employees, agents, or representatives, including any subcontractors and employees, agents, or representative of such subcontractors, have been convicted of a felony criminal offense or that if such a conviction has occurred Contractor has fully advised System Agency in writing of the facts and circumstances surrounding the convictions.

  • Fraud In this Agreement, Fraud means dishonestly obtaining a benefit, or causing a loss, by deception or other means, and includes alleged, attempted, suspected or detected fraud.

  • Material Breach A material breach for purposes of this Agreement shall include, but not be limited to: (a) Failure to timely furnish the documents described in Section 6 or the information requested by GO-Biz or the FTB relating to Taxpayer’s compliance with this Agreement. (b) Material misstatements in any information provided to GO-Biz as part of the application process and/or after this Agreement is signed. (c) Failure to materially satisfy applicable Milestones as set forth in Exhibit A, materiality of which shall be determined by GO-Biz, by the end of the last taxable year identified in Exhibit A. (d) Failure to maintain one or more Milestones for a minimum of three (3) subsequent taxable years after achieving the Milestone(s).
