Distributions of Net Available Cash Flow. Subject to Sections 6.2, 6.4, 6.6 and ARTICLE XII, distributions of Net Available Cash Flow shall be made as and when determined by the Management Committee to the Members, pro rata, in accordance with their respective Percentage Interests, provided, however, that any such distribution shall be subject to restrictions that may be imposed upon the Company by third party lenders.

Distributions of Net Available Cash Flow. Except as provided in Section 12.2 (dissolution of the Company), distributions of Net Available Cash Flow shall be made on at least a quarterly basis (or more frequently as the Board may determine) to the Members, pro rata, in accordance with their Ownership Percentage Interests, or as otherwise required under the Code in order to qualify and maintain the Company's status as a REIT. 5.2

In the event Gum Tech fails to make its Initial Capital Contribution of $3,500,000 in cash to the Company as set forth in Section 2.1, the Managers shall determine and distribute the Company's Net Available Cash Flow 50% to Gum Tech and 50% to BDT.
Distributions of Net Available Cash Flow. Except as provided in Article XII in connection with the dissolution of the Company, distribution of Net Available Cash Flow shall be made periodically as determined by Manager to the Members in proportion to the then outstanding Units held by such Member.

Available Cash that is deemed to be Capital Surplus shall then be distributed (A) to the General Partner in accordance with its Percentage Interest and (B) to all Unitholders holding Common Units, Pro Rata, a percentage equal to 100% less the General Partner’s Percentage Interest, until there has been distributed in respect of each Common Unit then Outstanding an amount equal to the Cumulative Common Unit Arrearage. Thereafter, all Available Cash shall be distributed as if it were Operating Surplus and shall be distributed in accordance with Section 6.4.

  • Distributions of Available Cash From Operating Surplus (a) During Subordination Period. Available Cash with respect to any Quarter within the Subordination Period that is deemed to be Operating Surplus pursuant to the provisions of Section 6.3 or 6.5 shall, subject to Section 17-607 of the Delaware Act, be distributed as follows, except as otherwise contemplated by Section 5.6 in respect of other Partnership Securities issued pursuant thereto:
