DMC. ODS services shall be provided though a Prepaid Inpatient Health Plan (PIHP) as defined in 42 CFR §438.2.
DMC. �ODS must refer Members to MCP for Covered Services, as well as any Community Supports services or care management programs for which they may qualify, such as Enhanced Care Management ("ECM") or Complex Case Management ("CCM"). If DMC-0OS is an ECM Provider, DMC-ODS provides ECM 402450513.2 services pursuant to that separate agreement between MCP and DMC-ODS for ECM services; this MOU does not govern DMC-ODS's provision of ECM.
DMC. ODS does not override EPSDT requirements. EPSDT beneficiaries may receive a longer length of stay based on medical necessity.
DMC. On completion of the sale and purchase the Purchaser shall EITHER enter into a Deed of Mutual Covenant and if thought appropriate by the Vendor a Management Agreement with the Vendor to define their respective rights and obligations of and in the land and the Building and to make provisions for the management of the Building OR at the Vendor's option accept an Assignment of the Property from the Vendor subject to and with the benefit of a Deed of Mutual Covenant and a Management Agreement (if any) entered into by the Vendor with another purchaser or purchasers in respect of the land and the Building.
DMC. The authorized capital stock of DMC consists of 100 shares of Common Stock, of which 100 shares of Common Stock are issued and outstanding on the date hereof (the "DMC Shares"). The DMC Shares are all duly authorized, validly issued, fully paid and nonassessable.
