Documentation, Audits and Inspections. Accenture will make available to You information that You reasonably request to demonstrate Accenture’s compliance with its obligations in this Section and will submit to Your reasonable audits and inspections in accordance with a mutually agreed process designed to avoid disruption of the Online Services and protect the confidential information of Accenture and its other clients. As required by applicable law, Accenture shall inform You if, in Accenture’s opinion, any of Your audit instructions infringes upon any applicable Data Protection Law. You will be solely responsible for determining whether the Services and Accenture’s Data Safeguards will meet Your needs, including with respect to any Data Protection Laws. ii Data Subject and Supervisory Authority Requests. Documentation, Audits and Inspections. Avanade shall make available to Client infor- mation reasonably requested by Client to demon- strate Avanade’s compliance with its obligations in this Section and submit to audits and inspec- tions by Client (or Client directed third parties) in accordance with a mutually agreed process de- signed to avoid disruption of the Services and protect the confidential information of Avanade and its other Clients. As required by applicable law, Avanade shall inform Client if, in Avanade’s opinion, any Client audit instruction infringes upon any applicable Data Protection Law. Client shall be solely responsible for determining whether the Services and Avanade’s security measures as set forth in Attachment 1 will meet Client’s needs, including with respect to any Data Protection Laws.

  • Audits and Inspections At any time during normal business hours and as often as the CITY may deem necessary, there shall be made available to the CITY for examination all of CONTRACTOR’S records with respect to all matters covered by this Agreement. CONTRACTOR shall permit the CITY to audit, examine, and make excerpts or transcripts from such records, and to make audits of all contracts, invoices, materials, payrolls, records of personnel, conditions of employment and other data relating to all matters covered by this Agreement.

  • RECORDS AND INSPECTIONS Consultant shall maintain full and accurate records with respect to all matters covered under this Agreement for a period of three years after the expiration or termination of this Agreement. City shall have the right to access and examine such records, without charge, during normal business hours. City shall further have the right to audit such records, to make transcripts therefrom and to inspect all program data, documents, proceedings, and activities.

  • Audit and Inspection 9.1 The Recipient, without charge, will permit any officer or officers of the Commissioner, external auditing bodies (i.e. National Audit Office or Audit Commission) or their nominees, to visit its premises and/or inspect any of its activities and/or to examine and take copies of the Recipient’s books of account and such other documents or records as in such officers' view may relate to the use of Grant. In addition, examinations may be carried out into the economy, efficiency and effectiveness with which the Grant has been used. The Commissioner shall endeavour, but is not obliged, to provide due notice of his/her intent to conduct an audit.

  • Audits/Inspections Contractor agrees to permit the County’s Auditor-Controller or the Auditor- Controller’s authorized representative (including auditors from a private auditing firm hired by the County) access during normal working hours to all books, accounts, records, reports, files, financial records, supporting documentation, including payroll and accounts payable/receivable records, and other papers or property of Contractor for the purpose of auditing or inspecting any aspect of performance under this Contract. The inspection and/or audit will be confined to those matters connected with the performance of the Contract including, but not limited to, the costs of administering the Contract. The County will provide reasonable notice of such an audit or inspection. The County reserves the right to audit and verify the Contractor’s records before final payment is made. Contractor agrees to maintain such records for possible audit for a minimum of three years after final payment, unless a longer period of records retention is stipulated under this Contract or by law. Contractor agrees to allow interviews of any employees or others who might reasonably have information related to such records. Further, Contractor agrees to include a similar right to the County to audit records and interview staff of any subcontractor related to performance of this Contract. Should the Contractor cease to exist as a legal entity, the Contractor’s records pertaining to this Contract shall be forwarded to the County’s project manager.

  • TESTING AND INSPECTION 6.1 Pre-Commercial Operation Date Testing and Modifications

  • Independent Review and Inspection The Owner may undertake independent inspection of the installation of the Work. Such independent inspector shall operate on behalf of the Owner and shall act to protect the best interests of the Owner.
