EFFECT OF EXPIRY OR TERMINATION. The rights and obligations in Clauses 11 (Limitation of Liability), 12 (Confidentiality), 13 (Intellectual Property and Indemnity) 15 (Duration and Termination) and 16 (Miscellaneous) and 17 (Governing Law and Dispute Resolution) and this Clause 15, and other provisions necessary to be invoked beyond the duration of the Agreement (including all those providing for limitation of or protection against liability of the Parties) shall survive termination, cancellation or expiration of this Agreement.
EFFECT OF EXPIRY OR TERMINATION. 23.1 On expiry or termination of this Agreement:
(a) ACC may require the Recipient to provide evidence of how the Funding has been spent; and
(b) any Funding that has not yet been paid by ACC will not be paid, except in respect of Activities performed prior to expiry or termination.
23.2 Expiry or termination of this Agreement will not:
(a) prejudice any other rights and remedies of the Parties under this Agreement or otherwise provided by law; or
(b) affect any part of this Agreement which expressly, or by its nature, survives termination or expiry, including clauses 14 (Confidentiality), 16 (Media Relations), 17 (Evaluation), 1 8 (Intellectual Property), 19 (Liability), 21 (Dispute Resolution), 23 (Effect of Expiry or Termination), 24 (Contact Persons), 25 (Inspection), 26 (Recordkeeping and Audit), 27 (Notices), 28 (Extraordinary Events) and 29 (Miscellaneous).
EFFECT OF EXPIRY OR TERMINATION. 29.1 On the expiry or termination of this PPP Agreement and/or the Project Term for whatever reason and without prejudice to any rights of the Parties hereto (subject as herein provided):
29.1.1 this PPP Agreement (other than this Clause 29 and Clauses 30, 33, 34, 35, 36, 38 and 39 shall cease to have effect, subject to all rights and obligations of the Parties existing prior to such termination;
29.1.2 such rights as the Private Party may have over the Restaurant Facility, the Project Assets and all other immovable property thereon shall terminate;
29.1.3 the Private Party shall deliver all documentation relating to the Restaurant Facility to SANParks.
29.2 Upon termination of this PPP Agreement, SANParks shall have the right to:
29.2.1 enter and take immediate control of the Restaurant Facility; or
29.2.2 select and substitute a new entity to take over the operation of the Restaurant Facility.
EFFECT OF EXPIRY OR TERMINATION. (a) In the event of expiry or termination of this XXXX, you must:
(i) immediately cease using the Licensed Materials; and
(ii) remove the Licensed Materials from all materials in your care, custody or control that feature the Licensed Materials, and, if the Licensed Materials cannot be removed, then at Omnata’s option, return or destroy all such material.
(b) Termination of this agreement will not affect any rights accruing to either party to the date of termination nor any obligation performed to the date of termination or any obligation which expressly or impliedly survives termination of this XXXX.
EFFECT OF EXPIRY OR TERMINATION. The parties undertake that they shall not knowingly do or omit to do anything which may adversely affect the ability of either of them to ensure an orderly transfer of responsibility of the Services.
EFFECT OF EXPIRY OR TERMINATION. (a) Upon termination of this Agreement, the respective rights and obligations of the Parties shall cease to have any effect, subject to Article 14.7(b) below;
(b) Termination of this Agreement for any reason shall not relieve or affect the rights or remedies of either Party in relation to any accrued rights or unperformed obligations including Take or Pay obligation under this Agreement, arising prior to or upon the date of such termination. The provisions of this Agreement relating to such rights and remedies, and the exercise thereof, shall survive the termination of this Agreement;
(c) The Contract Year in which this Agreement terminates shall be deemed to end on the date of such termination;
(d) The Seller shall have the right to invoke the Letter of Credit and appropriate the proceeds thereof, for any outstanding amounts due from the Buyer till the date of termination including any payments due with respect to its Take or Pay obligations, except where this Agreement is terminated by the Buyer in accordance with Article 14.1.
EFFECT OF EXPIRY OR TERMINATION. 31.1 On the expiry or termination of this Concession Contract and / or the Concession Period for whatever reason and without prejudice to any rights of the Parties hereto (subject as herein provided):-
31.1.1 this Concession Contract shall cease to have effect, subject to all rights and obligations of the Parties existing prior to such termination;
31.1.2 any such rights which the Concessionaire may have over the Concession Area and the Improvements shall terminate;
31.1.3 The Concessionaire shall, without payment of any compensation by the Developer, transfer all of its right(s), title and interest in the Concession Area and the Improvements to the Developer (or its nominee) in good condition and in accordance with a standard and quality reasonably acceptable to the Developer, fair wear and tear alone excepted, free of all liens, charges, debt or any liabilities, claims or encumbrances of any kind;
31.2 Upon expiry or termination of this Concession Contract, the Developer shall have the right to enter and take immediate operational control of the Improvements, the Concession Area and all facilities; and
31.3 The provisions of this clause 31 shall be suspended, pending the final outcome of any arbitration or legal proceedings between the Parties concerning the validity of the termination of this Concession Contract.
EFFECT OF EXPIRY OR TERMINATION. 26.1 On the expiry or termination of this PPP Agreement and/or the Project Term for whatever reason and without prejudice to any rights of the Parties hereto (subject as herein provided):
26.1.1 this PPP Agreement (other than this Clause 26 and Clauses 28, 31, 32, 29 and 34) shall cease to have effect, subject to all rights and obligations of the Parties existing prior to such termination;
26.1.2 such rights as the Private Party may have over the Estate shall terminate;
26.1.3 the Private Party shall deliver all documentation relating to the Estate to SANParks.
26.2 Upon termination of this PPP Agreement, SANParks shall have the right to:
26.2.1 enter and take immediate control of the Estate; or
26.2.2 select and substitute a new entity to take over the operation of the Estate.
EFFECT OF EXPIRY OR TERMINATION. 39.1 On expiry or termination of this Contract however arising, the Consultant shall, at no cost to the Client, promptly provide such assistance and comply with such timetable as the Client may reasonably require for the purpose of ensuring an orderly transfer of responsibility for provision of the Services. The Client shall be entitled to require the provision of such assistance both prior to and, for a reasonable period of time after expiry or other termination of this Contract.
39.2 The Contractor shall do such other reasonable acts or things as may be necessary or desirable to enable the Client to accomplish an orderly and prompt transfer of responsibility for the provision of the Services
39.3 The Contractor undertakes that he shall not knowingly do or omit to do anything which may adversely affect the ability of the Client to ensure an orderly transfer of responsibility of the Services.
EFFECT OF EXPIRY OR TERMINATION. Upon expiry or termination of the XXXX, you must certify to us in writing that you have deleted all copies of the Software and has ceased all use hereof.
