EFFECT OF TERMINATION OF MEMBERSHIP. Section 1.01. The termination of the Company’s WESM Membership as WESM Customer (Electric Cooperative, Private Distribution Utilities or Local Government Utilities) Category shall not affect its CRB Membership under [SOLR] Category, except otherwise expressly provided under the Relevant Rules and Issuances.
EFFECT OF TERMINATION OF MEMBERSHIP. Section 1.01. The termination of the Company’s WESM Membership as RE Supplier Category shall not affect its WESM Membership under LRES Category. Similarly, the termination of the Company’s WESM Membership under the LRES Category shall not affect is WESM Membership as RE Supplier.
EFFECT OF TERMINATION OF MEMBERSHIP. If for any reason the continued membership of a Member is terminated, then, if such termination causes an Event of Dissolution, but the business of Member Newco is continued as provided in Section 17.02 of this Agreement, unless otherwise approved by the Members (other than the Member whose membership has been terminated) by a Majority Vote, a Member whose status as a Member is terminated, regardless of whether or not such termination was a result of a voluntary act by such Member, shall have only the right to receive distributions of Distributable Cash or Capital Events Distributions and shall thereafter no longer be or be deemed to be a Member. Additionally, if for any reason the continued membership of a Member is terminated, then (i) if such Member whose Membership Interest is terminated is the Managing Member, the Member shall immediately cease being the Managing Member, and (ii) such Member's voting rights shall terminate, subject to the provisions of Section 20.04 below.
EFFECT OF TERMINATION OF MEMBERSHIP. If for any reason the continued membership of a Member is terminated, then, if such termination causes an Event of Dissolution, but the business of the Company is continued as provided in Section 17.02 of this Agreement, unless otherwise approved by the Members (other than the Member whose membership has been terminated) by a Majority Vote, a Member whose status as a Member is terminated, regardless of whether or not such termination was a result of a voluntary act by such Member, shall have only the right to receive distributions of Distributable Cash or Capital Events Distributions attributable to periods ending or events occurring prior to the date of such Member's termination of membership and shall thereafter no longer be or be deemed to be a Member.
EFFECT OF TERMINATION OF MEMBERSHIP. An outgoing Member shall not be entitled to a refund of any Fees that have been paid or waiver of any Fees that have accrued, except that a Member will be entitled to a refund of any prepaid fees representing the remaining portion of the then-current term of such Member's membership in the event of a termination for cause pursuant to Section 8(a)(ii) above. Termination of Membership shall have no adverse effect on DataCite's intellectual property rights in any Metadata or upon any related licenses then in effect. Following termination of its membership, an outgoing Member shall have no further obligation to deposit Metadata with DataCite or to assign Identifiers to its Content, and DateCite shall have no further obligation to register such Identifiers. With respect to Metadata deposited and Identifiers registered prior to such termination: (i) DataCite shall have the right to keep, maintain and use such Metadata and Identifiers within the DataCute Infrastructure and Services; and (ii) the obligations of the Member set forth in §4(c) and (d) of these Terms and Conditions will survive.
EFFECT OF TERMINATION OF MEMBERSHIP. Subject to the articles, upon termination of membership, the rights of the member, including any rights in the property of the Corporation, automatically cease to exist.
EFFECT OF TERMINATION OF MEMBERSHIP. All rights as a Member ----------------------------------- of the Corporation (and as an Affiliate of such a Member) shall cease on the termination of membership (by resignation or otherwise). Termination shall not relieve that Member (or any Affiliate of such Member) from obligations under these By-Laws, the Articles of Incorporation or any Securitization Agreement or other agreement between the Corporation and such Member (or if the membership applicable to such Member stands of record in the names of two or more persons, any such person) or any Affiliate of such Member as in effect from time to time; obligations for charges incurred, services or benefits actually rendered, membership investments, dues, assessments or fees; or any obligation to the Corporation arising otherwise.
EFFECT OF TERMINATION OF MEMBERSHIP. Members may receive equipment (hardware or software) through the WTTC as part of a grant application made by the consortium. Acquisition and ownership of such equipment will be subject to conditions contained in a contract between the WTTC and the Member which, in turn, may be contingent upon the terms of the grant obtained by the WTTC. Upon termination of an entity’s Membership in WTTC, the Member shall within thirty (30) days after the effective date of termination, either return the equipment, hardware and software (the “Equipment”) acquired from or through WTTC, or pay WTTC the reasonable replacement value of such Equipment depending on the terms and subject to such conditions as may be contained in the aforementioned contract with the WTTC by which the Member received the Equipment. The Member agrees to grant reasonable access to WTTC personnel to remove Equipment, or to disconnect Member from the Network. Upon termination of Membership, all connections with the WTTC shall, at the discretion of the Board of Directors of WTTC, be severed. Termination shall not relieve the Member of WTTC of any liability to the other which arose or was incurred prior to the effective date of the termination of Membership.
