Effective Date of Payment Obligation. Notwithstanding the above provisions in Section 3, Department shall not be required to begin any payments to QESP under this SOW unless and until all Equipment installation is completed by QESP in accordance with the provisions of Article 8 (Construction and Equipment Installation; Approval) and Schedule T (Systems Start-Up and Commissioning; Operating Parameters of Installed Equipment), and accepted by Department as evidenced by the signed Certificate of Acceptance as set forth in Exhibit A1 (Certificate of Acceptance of All Installed Equipment), and unless and until said Equipment is fully and properly functioning.
