Electronic Authentication. Pursuant to the Electronic Signatures in Global and National Commerce Act ("E-Sign"), but notwithstanding any applicable Florida statute, regulation, or other rule of law, including enactment of the Uniform Electronic Transactions Act ("UETA"), any affirmative act of SP indicating acceptance of the terms and conditions contained herein conveyed by means of a digital signature, electronic mail, internet communication or other similar authentication (hereinafter "Electronic Authentication") shall be fully valid, binding and enforceable against SP, and is conveyed with the full power and authority to make the representations and warranties contained herein. SP hereby waives any defense of unenforceability of this Agreement based solely on the existence of this Agreement or its endorsement in electronic form.
Electronic Authentication. Pursuant to the Electronic Signatures in Global and National Commerce Act ("E-Sign"), but notwithstanding any applicable Florida statute, regulation, or other rule of law, including enactment of the Uniform Electronic Transactions Act ("UETA"), any affirmative act of VAD indicating acceptance of the terms and conditions contained herein conveyed by means of a digital signature, electronic mail, internet communication or other similar authentication (hereinafter "Electronic Authentication") shall be fully valid, binding and enforceable against VAD, and is conveyed with the full power and authority to make the representations and warranties contained herein. VAD hereby waives any defense of unenforceability of this Agreement based solely on the existence of this Agreement or its endorsement in electronic form.
19. All conditions, limitations, restrictions, and requirements in this Agreement pertaining to and including but not limited to sales, goodwill, insurance, intellectual property rights, warranty limitations, legal compliance requirements, limitations of liability, marketing restrictions, remedies, exporting, and confidentiality, that pertain to VAD must also pertain to SP and thereby must be the subject of substantially similar contract provisions between VAD and SP.
Electronic Authentication. The Parties shall endeavour to work towards mutual recognition of digital signatures in the exchange of electronic documents by means of a trusted third party service.
Electronic Authentication. 1. The Parties recognise that electronic authentication represents an element that facilitates trade.
2. The Parties shall work towards the mutual recognition of digital certificates and electronic signatures at governmental level, based on internationally accepted standards.
3. Each Party shall adopt or maintain measures regulating electronic authentication that:
(a) permit parties who take part in a transaction or contract by electronic means to determine the appropriate authentication technologies and implementation models, and do not limit the recognition of such technologies and implementation models, unless there is a domestic or international legal requirement to the contrary; and
(b) permit parties who take part in a transaction or contract by electronic means to have the opportunity to prove in court that their electronic transactions comply with any legal requirement.
4. The Parties shall encourage the use of interoperable electronic authentication.
Electronic Authentication. The Parties shall work towards mutual recognition of electronic authentication methods. To accelerate the process of mutual recognition of electronic authentication methods the Parties shall collaborate and share the best practices that grant the full protection and veracity of data.
Electronic Authentication. The Notes may be authenticated by the Trustee by the manual, facsimile or electronic signature of one of its authorized signatories.
Electronic Authentication. (1) Shall align with the standards set out by the National Institute of Standards and Technology (SP 800-63-1).
(2) Shall occur both at registration/issuance of access rights and at the system user's attempted access.
(3) Shall utilize multifactor (two-level/token minimum) user authentication.
Electronic Authentication. The electronic signatures or other electronic authentication as to the acceptance of this License Agreement by either Party (including by means of an electronic “click through” acceptance) shall be effective and binding upon such Party.
Electronic Authentication. To the extent permissible under applicable law, the parties consent to the use of electronic means to authenticate a writing.
Electronic Authentication. 1. Except in circumstances otherwise provided for under its laws and regulations, a Party shall not deny the legal effect or admissibility as evidence in legal proceedings of an electronic document, an electronic signature, an electronic seal, or the authenticating data resulting from electronic authentication, solely on the ground that it is in electronic form.
2. A Party shall not adopt or maintain measures that would:
(a) prohibit parties to an electronic transaction from mutually determining the appropriate electronic authentication methods for their electronic transaction; or
(b) prevent parties to an electronic transaction from being able to prove to judicial and administrative authorities that the use of electronic authentication in that electronic transaction complies with the applicable legal requirements.
3. Notwithstanding paragraph 2, a Party may require that, for a particular category of electronic transactions, the method of electronic authentication:
(a) is certified by an authority accredited in accordance with its law; or
(b) meets certain performance standards, which shall be objective, transparent and non-discriminatory and only relate to the specific characteristics of the category of electronic transactions concerned.
4. To the extent provided for under its laws or regulations, a Party shall apply paragraphs 1 to 3 to other electronic processes or means of facilitating or enabling electronic transactions, such as electronic time stamps or electronic registered delivery services.
