Elements To Be Addressed in the DA. Among other matters, the eventual DA shall address the terms and conditions in which: (1) the City would enter a long term lease with Sonnenblick that would enable a financially feasible Development; (2) Sonnenblick would fund and develop and operate the Development on the Site; (3) Sonnenblick would operate and maintain certain elements of the horizontal infrastructure and the Parks on the Site or create in consultation with the City a master association for that purpose; (4) the City, the Panama City Community Redevelopment Agency (the “CRA”) and the Panama City Community Development Council, Inc. (the “CDC”), would reinvest in the Development certain portions of taxes collected by virtue of the value of the Site or taxable events occurring on or directly related to the Site; (5) Sonnenblick would reimburse the City all or a certain portion of the consultant’s and attorney’s fees expended by the City in the preparation of this Agreement, the good faith negotiations contemplated by this Agreement and the development of the DA, at the time the first construction loan or other financing or private capital contribution is made to fund construction of the first of the Development; (6) Sonnenblick would meet certain milestones in constructing the Development and the alternatives available to Sonnenblick and the City if those milestones are not met. As more fully set forth in Section 3.1, the all parties acknowledge and agree that this Agreement in itself does not obligate any party to acquire or convey any property, does not xxxxx Xxxxxxxxxxx the right to develop the Site or construct the Development, and does not obligate Sonnenblick to any activities or costs to develop the site or construct the Development, except for the preliminary analysis and negotiations contemplated by this Agreement. Sonnenblick acknowledges that this Agreement is entered by the City in its respective proprietary capacities and does not involve or affect the police power of the City, or the application of that power.

  • Notice Addresses A notice, request, direction, consent, waiver or other communication must be addressed to the recipient at its address stated in Schedule B to the Sale and Servicing Agreement, which address the party may change by notifying the other party.

  • Notice Address Subject to Section 4.1.4, all notices and other communications by or to a party hereto shall be in writing and shall be given to any Borrower, at Borrower Agent’s address shown on the signature pages hereof, and to any other Person at its address shown on the signature pages hereof (or, in the case of a Person who becomes a Lender after the Closing Date, at the address shown on its Assignment and Acceptance), or at such other address as a party may hereafter specify by notice in accordance with this Section 14.3.
