Employee Benefit Plan Status. The Subscriber understands that because it is the intent of the Partnership to operate in a manner such that the assets of the Partnership will not be "plan assets" subject to the provisions of Part 4 of Subtitle B of Title I of the U.S. Employee Retirement Income Security Act of 1974, as amended ("ERISA") and/or Section 4975 of the Internal Revenue Code of 1986, as amended (the "Code"), the Subscriber must provide the Partnership with information necessary for the General Partner to determine whether the Partnership will be subject to the provisions of ERISA. In this regard, the Subscriber makes the representations and warranties contained in Attachment B.

Employee Benefit Plan Status. The Selling Unitholder is not (i) an employee benefit plan subject to Title I of ERISA, (ii) a plan or account subject to Section 4975 of the Code or (iii) an entity deemed to hold “plan assets” of any such plan or account under Section 3(42) of ERISA, 29 C.F.R. 2510.3-101, or otherwise. Any certificate signed by the Selling Unitholder or any of its officers (if applicable) and delivered to the Underwriter or to counsel for the Underwriter pursuant to this Agreement shall be deemed a representation and warranty by the Selling Unitholder to the Underwriter as to the matters covered thereby.
