ENGAGEMENT OF THE CONSULTANT. The Corporation hereby engages the Consultant for the Term to perform the following services:
ENGAGEMENT OF THE CONSULTANT. 3.1 The TDC hereby engages the Consultant and the Consultant xxxxxx agrees to perform the Consultancy Services in accordance with the terms and conditions of this Agreement.
ENGAGEMENT OF THE CONSULTANT. The Company hereby engages and retains the Consultant to render to the Company the strategic product sourcing services described in Section 2 hereof (the "Services") for a period of twelve months commencing on the date hereof (the "Consulting Period").
ENGAGEMENT OF THE CONSULTANT. The Authority hereby engages the services of the Consultant and the Consultant agrees to perform in a good and skillful manner and in accordance with the directions and subject to the approval of the Executive Director of the Authority, (hereinafter referred to as the "Executive Director"), all the necessary professional services for the PROJECT (hereinafter known as the "Project") as further set forth in ARTICLE III - SERVICES OF THE CONSULTANT of this Contract.
ENGAGEMENT OF THE CONSULTANT. The Company hereby engages and retains the Consultant to render to the Company the financial services described in Section 2 hereof (the "Financial Services") for the period of two years commencing on the consummation of the Offering (the "Consulting Period").
ENGAGEMENT OF THE CONSULTANT. Key obligations The City must pay the Consultant the Fee in accordance with this Contract. The Consultant's entitlement to payment under this Contract in respect of the performance of the Services is strictly limited to: the Fee; and any other payment to be made under an express provision of this Contract, and no other circumstances. Without limiting clause 2.1(b), the Consultant acknowledges and agrees that there may be periods of inactivity on the part of the Consultant between stages of the Services as set out in the Schedule of Services or as directed by the City (acting reasonably) from time to time and the Consultant agrees to not make any claim against the City as a result of or in connection with any such inactivity. Independent contractor The Consultant is engaged as an independent contractor. Nothing in this Contract makes the Consultant an employee, agent, partner or joint venturer of the City. Conflict of interest As at the Date of the Contract, the Consultant is not aware of any matter which may give rise to an actual or perceived conflict of interest relating to the performance of the Services by the Consultant. If, at any time prior to the expiry or earlier termination of this Contract, the Consultant becomes aware of any matter which may give rise to an actual or perceived conflict of interest relating to the performance of the Services by the Consultant, the Consultant must: immediately notify the City of such matters, including making full disclosure of all relevant information relating to the conflict; and take such steps to resolve or manage such conflict as required by the City. ENGAGEMENT OF THE CONSULTANT. In reliance on the Consultant’s representations, warranties, and covenants set forth in the Proposal and as set forth herein, the Fund hereby engages the Consultant to perform, and Consultant agrees to provide, the Services at the request of authorized staff of the Fund. The Consultant shall not change or otherwise modify such Services without the prior written consent of the Comptroller (which consent may be granted or withheld by the Fund in its sole discretion). The Consultant accepts such engagement and agrees to perform its duties and fulfill its obligations with respect thereto upon the terms, and subject to the conditions, set forth herein.
ENGAGEMENT OF THE CONSULTANT. The Client engages the Consultant to provide, and to make available to the Client all knowledge, information and expertise available to or in the possession of the Consultant or any person employed by it concerning the information, methods, techniques and other matters available to it or its employees which may assist the Consultant in promoting the Client’s interests, maintaining the efficiency of the Client’s operations and in further improving the efficiency of its operations.
ENGAGEMENT OF THE CONSULTANT. The Village hereby engages the Consultant identified below to provide all necessary professional consulting services and to perform the work in connection with the project described as follows: Professional management, government, revenue and tax, and computer consulting services as set forth in and attached hereto as EXHIBIT A (collectively, the “Services”).
