Sourcing Services. Subject to the terms and conditions of this Agreement, during the Term, JSG shall, itself or through its designated Affiliates, (i) manage the relationship with each Approved OEM (including as reasonably requested or directed by XxxxxXxxxx), (ii) negotiate written agreements with each Approved OEM with respect to the supply of the Products to SharkNinja (subject to the approval of SharkNinja, including with respect to pricing and other key commercial and supply terms), (iii) oversee production planning and inventory/capacity management with respect to the Products to be procured from each Approved OEM (including as set forth in Section 2.2), (iv) facilitate the supply of the Products directly from each Approved OEM to SharkNinja or its designated Affiliates, and (v) develop relationships with prospective new Approved OEMs (the foregoing clauses (i)-(v), collectively, the “Services”). JSG shall reasonably consult with and keep SharkNinja reasonably informed in connection with the provision of the Services.

Sourcing Services. Tiger SS and TIGER WFOE shall perform all the sourcing services described in this Agreement, as further elaborated in the Services Level Agreement attached hereto and incorporated herein as Exhibit C.

Sourcing Services. Qualigence may assist Client in candidate sourcing and name generation for positions described in writing by Client (“Sourcing Services”). In the event Qualigence performs such Sourcing Services, Qualigence shall identify candidates for prospective employment with Client and preliminarily screen such prospective employees on behalf of Client to determine whether such prospective employees would be appropriate to work with Client. Client shall assume responsibility to further vet such candidates to determine which, if any, candidates should be contacted for further discussion and interviews. Client shall pay Qualigence the amounts described in Section 3 below for the provision of such Sourcing Services.
Sourcing Services. Client shall pay Qualigence the Preferred Client Rate per hour for Sourcing Services as described above.
Sourcing Services. (a) SCRIPS is engaged in the purchase, repackaging, labeling and nationwide distribution of various pharmaceutical products. As a result, SCRIPS has access to pharmaceutical products for which a minimum order quantity is required, or for which a volume-based price discount is available, or for which favorable payment terms are available, or for which certain financial capability is required. PIMD desires to obtain the benefit of all such by contracting for SCRIPS’ sourcing services. (b) SCRIPS may introduce PIMD to various sources of both pharmaceutical products and financial support with which PIMD, in its sole discretion, may contract; notwithstanding the separate and independent arrangements which PIMD may establish, the services of such third parties shall be deemed services of SCRIPS hereunder for the purpose of measuring performance by SCRIPS of its sourcing duties and obligations hereunder. (c) The foregoing shall be subject to the prohibitions and limitations contained in sub-paragraphs 7(a) and 8(c).
Sourcing Services. The scope and terms of these Services, including without limitation the Services Fees, are set out in detail on Schedule II, attached hereto.

Sourcing Services. In addition to the obligations of BBC set forth above in Section 4 hereof, with respect to Product sourced by BBC hereunder, BBC shall perform the following services: (a) Identify factories suitable for the manufacture of Product and, on LAG's behalf, solicit bids from, and negotiate most favorable terms with, such factories and their agents with respect thereto; (b) Act as LAG's buying agent for the ordering, manufacture, inspection, packing and shipment of Product sourced through the agency of BBC; (c) In strict accordance with LAG's written instructions, place purchase orders with the selected factories on behalf of LAG and confirm that all such purchase orders are received, understood and confirmed in writing by the relevant factory or factories; such orders shall include all details concerning design specifications, sizes, genders, quantities, prices, packaging instructions, labeling requirements, branding, shipping dates, delivery dates and instructions regarding country of destination, payment terms and other terms of purchase specified by LAG in its instructions; (d) Ensure that the Q.C. Agent (i) performs random inspections during the production process to assure that the quality and workmanship of the Product in process strictly complies with the relevant sales samples and design and manufacturing specifications, (ii) promptly advise LAG in writing of any problems affecting the completion of orders for Product in accordance with the specified quality and delivery terms therefor, and (iii) certify to LAG in writing (in the form of a signed certificate of inspection) that each order meets all quality specifications for that particular Product in accordance with the quality specifications and sales samples established and/or provided for it; (e) Obtain any and all documentation necessary for the exportation and/or importation of Product from and/or into their respective countries of origin and destinations; (f) Provide LAG with the relevant factory's original invoices for Product, it being understood that BBC shall never act as a seller of any Product to LAG; (g) Maintain complete and accurate records of all Product ordered, in progress, finished and in transit for the account of LAG and, at the request of LAG, provide LAG with access to, or copies of, such records; (h) In the event that delivery of any Product is refused by LAG, or not shipped, use its best efforts to prevent the manufacturer of such Product from disposing thereof prior to removing...

  • Pricing Services Chase may use any pricing service referred to in an applicable MSLA and any other recognized pricing service (including itself and any of its affiliates) in order to perform its valuation responsibilities with respect to Securities, Collateral and Authorized Investments, and Lender shall hold Chase harmless from and against any loss or damage suffered or incurred as a result of errors or omissions of any such pricing service.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs. Likewise if such Hosting contributes to or directly causes a Security Incident, Supplier shall be responsible for the obligations set forth in Appendix 1, as applicable. 14 Change Management

  • Monitoring Services IDT staff shall, using methods that include face-to-face and other contacts with the member, monitor the services a member receives. This monitoring shall ensure that: a. The member receives the services and supports authorized, arranged for and coordinated by the IDT staff; b. The services and supports identified in the MCP as being provided by natural and community supports are being provided; and c. The quality of the services and supports received is adequate and still necessary to continue to meet the needs and preferences of the member and support the member’s outcomes identified in the MCP.
