Entire Contract and Amendments. This Agreement (together with the Exhibits attached hereto) is the entire contract between the City and the Developer relating to the subject matter hereof, supersedes all prior and contemporaneous negotiations, understandings and agreements, written or oral, between the City and the Developer, and may not be modified or amended except by a written instrument executed by the Parties.
Entire Contract and Amendments. This Agreement constitutes the entire agreement between the Parties in respect of the Research Project. Any amendments and changes to this Agreement shall be valid only if made in writing and signed by an authorised signatory of each Party. This Agreement has been executed in two (2) originals, one for each Party.

In respect of the this Contract and without consideration of the subsequent purchase order or conditions of sale for each separate sale, this Contract including EXHIBIT I and II shall constitute an integral part of the entire Contract between the Parties with regard to its subject matter. 2. Any amendments to, or modifications of this Contract shall become effective only when in writing and signed by the Parties.
3. Headings of this Contract are only for the purpose of reference, and have no influence to the interpretation of this Contract.

No amendment to this Contract or to any purchase order shall be binding upon either party hereto, unless it is in writing and executed on behalf of each party hereto by a duly authorized representative and expressly specified as such.

This Contract constitutes the entire agreement of the Builder and the Owner in relation to the construction and purchase of the Vessel and neither any representation, warranty or statement made by or on behalf of the Builder or the Owner prior to the date hereof shall affect the terms of this Contract or the rights or duties of the Builder or the Owner hereunder nor shall any modification of the terms of this Contract be of any effect unless made in writing and signed by the Owner and the Builder or their respective Authorized Representatives or Project Managers (in case of Project Change Orders).

Entire Contract and Amendments. 23.1 This Contract is the complete agreement between the parties and supersedes all prior proposals, agreements, and understandings between the parties and may not be modified or terminated orally.
23.2 No attempted waiver of any of the provisions hereof, nor any modification in the nature, extent or duration of the work to be performed by PROJECT DESIGNER hereunder, shall be binding unless in writing and signed by the party against whom the same is sought to be enforced.
23.3 The failure of any party to enforce against another party any provision of this Contract shall not constitute a waiver of that party’s right to enforce such a provision at a later time, and shall not serve to vary the terms of this Contract.
