Environmental Warranties and Agreements. The XxXxxxx Contributor and the Partnerships have obtained all Licenses which are required in respect of its business, operations or Properties under applicable Environmental Laws, and the XxXxxxx Contributor, the Partnerships and the Properties are in compliance in all material respects with the terms and conditions of all such Licenses and with any applicable Environmental Law, except for such instances of noncompliance as would not, individually or in the aggregate, have a Material Adverse Effect.
