Equipment and Basic Services. (a) At each Collocation Site, WinStar shall provide separate access (to space not located in its switch or transmission room), space, HVAC, and DC power at Xxxxxxxx' expense (up to fifty (50) amps) for one rack space adequate to contain a rack (measuring 26 inches (width) x 24 inches (depth) x 78 or 84 inches (height)). Xxxxxxxx may request additional rack space, which WinStar may provide in its discretion. Xxxxxxxx shall supply its own cabinets. (b) Xxxxxxxx' use of the Collocation Site, installation of the equipment, and type of equipment installed shall at all times be suitable for the central office environment and subject to Xxxxxxxx'x adherence to generally accepted industry standards, security rules and reasonable rules of conduct established by WinStar for the Collocation Site. Without limiting the foregoing, Xxxxxxxx acknowledges and agrees that it shall not be permitted to install or otherwise utilize equipment that (i) generates heat greater than 1200 xxxxx per cabinet; or (ii) has a weight load of greater than 100 pounds per square foot. Xxxxxxxx shall not erect any signs or devices to the exterior portion of the Collocation Site without submitting the request to WinStar and obtaining WinStar's written approval, which may be withheld in its sole discretion. (c) WinStar shall not arbitrarily or discriminatorily require Xxxxxxxx to relocate the equipment; however, upon sixty (60) days' prior written notice or, in the event of an emergency, such time as may be reasonable, WinStar reserves the right to change the location of the Collocation Site. WinStar will work in good faith to minimize any disruption to Xxxxxxxx' services as a result of such relocation. WinStar shall be responsible for the cost of improving the Collocation Site to which the equipment may be relocated, and for relocation of equipment interconnected to WinStar services.

  • All new supplies equipment and services shall include manufacturer's minimum standard warranty unless otherwise agreed to in writing. Vendor shall be legally permitted to sell all products offered for sale to TIPS Members. All goods proposed and sold shall be new unless clearly stated in writing. The Vendor shall provide timely and accurate customer support for orders to TIPS Members as agreed by the Parties. Vendors shall respond to such requests within a commercially reasonable time after receipt of the request. If support andƒor training is a line item sold or packaged with a sale, support shall be as agreed with the TIPS Member. Most TIPS Members are tax exempt and the related laws andƒor regulations of the controlling jurisdiction(s) of the TIPS Member shall apply. No assignment of Agreement may be made without the prior notification of TIPS. Written approval of TIPS shall not be unreasonably withheld. Payment for delivered goods and services can only be made to the awarded Vendor, Vendor designated reseller or vendor assigned company.

  • Equipment and Tools 40.01 The Employer will make available all necessary tools and equipment it requires for the performance of work assignments at no cost to the employees. Such tools and equipment will remain the property of the Employer and the employees will be required to take reasonable care of this property and may be required to sign out certain equipment and tools.

  • Personnel Equipment and Material Engineer shall furnish and maintain, at its own expense, quarters for the performance of all Engineering Services, and adequate and sufficient personnel and equipment to perform the Engineering Services as required. All employees of Engineer shall have such knowledge and experience as will enable them to perform the duties assigned to them. Any employee of Engineer who, in the reasonable opinion of County, is incompetent or whose conduct becomes detrimental to the Engineering Services shall immediately be removed from association with the Project when so instructed by County. Engineer certifies that it presently has adequate qualified personnel in its employment for performance of the Engineering Services required under this Contract, or will obtain such personnel from sources other than County. Engineer may not change the Project Manager without prior written consent of County.

  • Specific Services Contractor shall provide the services described in Exhibit “A” attached hereto. No additional services shall be performed by Contractor unless approved in advance in writing by the County stating the dollar value of the services, the method of payment, and any adjustment in contract time or other contract terms. All such services are to be coordinated with County and the results of the work shall be monitored by the Director of Health and Human Services Agency or his or her designee.

  • Equipment and Supplies Independent Contractor, at Independent Contractor's sole expense, shall provide all equipment, tools and supplies necessary to perform the Service.
