Establishment of JDC. Promptly after the Effective Date, the Parties shall establish a Joint Development Committee, composed of the Alliance Managers and […***…] additional representatives from Company and […***…] additional representatives from Xxxxxxx as its members. Each Party will designate by written notice its initial members to serve on the JDC. Each Party may replace its representatives on the JDC by written notice to the other Party.
Establishment of JDC. The Parties will establish a Joint Development Committee (the “JDC”), which will consist of a total of eight (8) members, with four (4) members from each Party, to oversee the Development Program. Members of the JDC may be represented at any meeting by a designee appointed by such member for such meeting. Each Party will be free to change its members on prior written notice to the other Party. The JDC will remain in place for four (4) years following the Effective Date; provided, however that if the commercial launch of the Product for a non-FH indication has not occurred by the end of such 4-year period, the Parties will mutually agree upon an appropriate extension of the JDC.

Promptly but in no event later than [***] after Proteovant’s exercise of its Opt-In Right in accordance with Article 4, the Parties will establish a committee to act as a forum to review, discuss and oversee Development (including Manufacturing) of Opt-In Products in the Field in the Territory with the roles set forth in Section 9.5(c) (the “Joint Development Committee” or “JDC”). The JDC will consist at all times of an equal number of representatives of each of Proteovant and Blueprint. Each Party will initially appoint three (3) representatives to the JDC. The JDC membership and procedures are further described in this Section 9.5. Each Party may at any time appoint different JDC representatives by written notice to the other Party.
Establishment of JDC. Promptly following and in no event later than [***] days after the Non-Lead Party exercises its Development Option, the Parties shall establish a joint development committee (“Joint Development Committee” or “JDC”) to oversee Development of the Joint Compound and any Joint Products containing such Joint Compound and to coordinate the Development activities of both Parties with respect to such Joint Products. With respect to subsequent Joint Compounds and Joint Products (as may result from other Joint Development Programs), the same JDC will oversee Development of such subsequent Joint Compounds and Joint Products unless the Parties mutually agree to establish a separate JDC for such purposes.

If GSK exercises its Option pursuant to Section 3.8 (Exercise of Option and License Effective Date), then, no later than [**] following the License Effective Date, the Parties shall establish a joint development committee (the “JDC”) to oversee the conduct of, and coordinate the Parties’ activities with respect to, the Development of the Licensed Compound and Licensed Products under the Collaboration. The JDC shall operate in accordance with the provisions of Section 10.7 (Membership, Meetings and Meeting Minutes) and Section 10.8 (Decision-Making). At its meetings, the JDC shall review, discuss and determine whether to approve (if applicable), the matters described in Section 10.2.2 (Responsibilities of the JDC) or, subject to Section 10.8 (Decision-Making), -82- such other matters as are reasonably requested by either Party that are within the purview of the JDC.

Within thirty (30) days after the Effective Date, the Parties will establish a joint Development committee with the roles set forth in Section 2.1(c) (the “Joint Development Committee” or “JDC”). Each Party will initially appoint one to three representatives to the JDC. The JDC may change its size from time to time by mutual consent of its members on an as-needed basis. The JDC membership and procedures are further described in this Section 2.1. Each Party may at any time appoint different JDC representatives by written notice to the other Party.
Establishment of JDC. The parties will establish the JDC to oversee and coordinate the development of the Combination Therapy. The JDC will have only such powers as are specifically delegated to it hereunder and will have no power to amend this Agreement. The general purpose of the JDC is to (i) establish the strategy for the clinical development and Regulatory Approval of the Combination Therapy on a worldwide basis; (ii) oversee the Clinical Trials; and (iii) coordinate the parties' activities under the Collaboration, all based on the principles of prompt and diligent development of the Combination Therapy consistent with good pharmaceutical practices. In addition to its overall responsibility for the Collaboration, the JDC will, in particular, (1) review, modify (if appropriate) and approve Protocols for the Clinical Trials in accordance with the Trial Designs; (2) review, modify (if appropriate) and approve IND and NDA filings for the Clinical Trials; and (3) review, modify (if appropriate) and approve the Annual Budget.
