Establishment of JDC. The Parties will establish a Joint Development Committee (the “JDC”), which will consist of a total of eight (8) members, with four (4) members from each Party, to oversee the Development Program. Members of the JDC may be represented at any meeting by a designee appointed by such member for such meeting. Each Party will be free to change its members on prior written notice to the other Party. Establishment of JDC. If GSK exercises its Option pursuant to Section 3.8 (Exercise of Option and License Effective Date), then, no later than [**] following the License Effective Date, the Parties shall establish a joint development committee (the “JDC”) to oversee the conduct of, and coordinate the Parties’ activities with respect to, the Development of the Licensed Compound and Licensed Products under the Collaboration. The JDC shall operate in accordance with the provisions of Section 10.7 (Membership, Meetings and Meeting Minutes) and Section 10.8 (Decision-Making). At its meetings, the JDC shall review, discuss and determine whether to approve (if applicable), the matters described in Section 10.2.2 (Responsibilities of the JDC) or, subject to Section 10.8 (Decision-Making), -82- such other matters as are reasonably requested by either Party that are within the purview of the JDC.

In addition to its overall responsibility for the Collaboration, the JDC will, in particular, (1) review, modify (if appropriate) and approve Protocols for the Clinical Trials in accordance with the Trial Designs; (2) review, modify (if appropriate) and approve IND and NDA filings for the Clinical Trials; and (3) review, modify (if appropriate) and approve the Annual Budget.
