Existing Xxxxxx. (a) The Ceding Company hereby assigns to the Reinsurer, as of the Effective Date, a fractional interest in the gross proceeds in respect of all Existing Xxxxxx equivalent to the Quota Share of all amounts actually received (or deemed received) by the Ceding Company pursuant to the Existing Xxxxxx from the relevant hedge counterparty, including upon an early exercise of an Existing Hedge by the Ceding Company, which amounts shall be determined without regard to any netting of amounts between the Ceding Company and the relevant hedge counterparty with respect to any derivatives that are not Existing Xxxxxx (the “Existing Hedge Proceeds”), and such assignment shall be effected through deposit or attribution to the Funds Withheld Account. Such assignment shall occur automatically, without further action on the part of either party, on the Effective Date. Upon any termination of this Agreement, all of the Reinsurer’s right, title and interest (legal, equitable and otherwise) in and to the Existing Hedge Proceeds will be immediately assigned to the Ceding Company without any further action by the parties hereto. (b) Any Existing Hedge Proceeds shall be attributed to the Funds Withheld Account and reflected in the Monthly Accounting Report for the applicable Monthly Accounting Period. The Ceding Company shall pay to the Reinsurer any Existing Hedge Proceeds in accordance with Section 7.03. (c) Other than with respect to the Existing Xxxxxx, the Reinsurer shall be responsible for hedging its share of the index risk and other risk associated with the Reinsured Policies.

Existing Xxxxxx. Between the date of this Agreement and the Closing, Buyer shall, in good faith, use its Reasonable Best Efforts to arrange for a financial institution to accept an assignment (or transfer of the economic risk and benefit) of the Existing Xxxxxx from Xxxxx Fargo Bank, N.A. at Closing subject to the terms of a mutually satisfactory master agreement governing the terms of the Existing Xxxxxx; and provided further, that Buyer shall have no obligation to purchase any of the Existing Xxxxxx, pay other than a nominal fee, or settle any outstanding amount due and owing the counter-party in respect of the Existing Xxxxxx.
Existing Xxxxxx. Vertical faces shall be trimmed perpendicular and true to line so as not to overhang paths, roads, and other hard areas, lawns or planting areas. Tops shall be cut horizontal to the point of the last cut, unless otherwise instructed. A flail cutting shall not be used without the approval of the Contract Administrator. Large leafed species, for example Prunus laurocerasus or Aucuba ssp. shall be trimmed using secateurs unless otherwise instructed. Self-sown trees and shrubs, brambles and other weed growth, litter and rubbish shall be removed. All arisings shall be taken to the Contractor 's tip.
