Expenses of Each Fund. It is understood that each Fund will pay all of its expenses other than those expressly assumed by the Adviser herein, which expenses payable by the Fund shall include:
A. Fees to the Adviser as provided herein;
B. Expenses of all audits by independent public accountants;
C. The allocated portion of fees and expenses of legal counsel in connection with legal services rendered to the Company, including the Board of Directors of the Company, committees of the Board of Directors and those directors who are not "interested persons" of the Company or the Adviser, as defined in the Investment Company Act of 1940, and litigation;
D. Brokerage fees and commissions and other transaction costs in connection with the purchase and sale of portfolio securities for the Fund;
E. Costs, including the interest expense, of borrowing money;
F. All federal, state and local taxes levied against the Fund;
G. The allocated portion of fees of directors of the Company not affiliated with the Adviser;
H. The allocated portion of costs and expenses of meetings of the Board of Directors, committees of the Board of Directors and shareholders of the Company;
I. Fees and expenses of the Company's transfer agent, registrar, custodian, dividend disbursing agent, shareholder accounting agent, and other agents approved by the Board of Directors of the Company;
J. Cost of printing stock certificates representing shares of the Fund;
K. Fees and expenses of registering and qualifying and maintaining registration and qualification of the Company, the Fund and its shares under federal, state and foreign securities laws;
L. The allocated portion of fees and expenses incident to filing of reports with regulatory bodies and maintenance of the Company's existence;
M. The allocated portion of premiums for insurance carried by the Company pursuant to the requirements of Section 17(g) of the Investment Company Act of 1940;
N. The allocated portion of fees and expenses incurred in connection with any investment company organization or trade association of which the Company may be a member;
O. The allocated portion of expenses of preparation, printing (including typesetting) and distribution of reports, notices and prospectuses to existing shareholders of the Company;
P. Expenses of computing the Fund's daily per share net asset value; and
Q. The allocated portion of expenses incurred by the Company in connection with litigation proceedings or claims, including any obligation the Company may have to inde...

Expenses payable by the Fund shall include, but are not limited to: Fees to the Advisor as provided herein; Legal and audit expenses; Fees and expenses related to the registration and qualification of the Corporation and its shares for distribution under federal and state securities laws; Expenses of the administrative services agent, transfer agent, registrar, custodian, dividend disbursing agent and shareholder servicing agent; Any telephone charges associated with shareholder servicing or the maintenance of the Funds or Corporation; Salaries, fees and expenses of Directors and executive officers of the Corporation, other than Advisor Employees; Taxes and corporate fees levied against the Corporation; Brokerage commissions and other expenses associated with the purchase and sale of portfolio securities for the Corporation; Expenses, including interest, of borrowing money; Expenses incidental to meetings of the Corporation's shareholders and the maintenance of the Corporation's organizational existence; Expenses of printing stock certificates representing shares of the Corporation and expenses of preparing, printing and mailing notices, proxy material, reports to regulatory bodies and reports to shareholders of the Corporation; Expenses of preparing and typesetting of prospectuses of the Corporation; Expenses of printing and distributing prospectuses to shareholders of the Corporation; Association membership dues; Insurance premiums for fidelity and other coverage; Distribution Plan expenses, as permitted by Rule 12b-1 under the 1940 Act and as approved by the Board; and Such other legitimate Corporation expenses as the Board of Directors may from time to time determine are properly chargeable to the Corporation.
Expenses of Each Fund. The Company and each Fund shall bear the expense of fees of its investment advisors, legal fees related to litigation, the Administrator's compensation under this Agreement, and any expenses of any "master" fund in which a Fund invests.
Expenses of Each Fund under the Paragraph entitled “2.2 Expenses to Be Paid by the Fund.” and re-number all sub-paragraphs numerically thereafter:

i. Expenses incidental to meetings of the Fund's shareholders and the Fund's allocable portion of the expenses incidental to the maintenance of the Trust's organizational existence;
j. Expenses of printing stock certificates representing shares of the Fund and expenses of preparing, printing and mailing notices, proxy material, reports to regulatory bodies and reports to shareholders of the Fund;
k. Expenses of preparing and typesetting of prospectuses of the Fund;
l. Expenses of printing and distributing prospectuses to shareholders of the Fund;
m. The Fund's allocable portion of association membership dues of the Trust;
n. Insurance premiums for fidelity and other coverage; and
o. Distribution Plan expenses, as permitted by Rule 12b-1 under the 1940 Act and as authorized by the Trustees.
Expenses of Each Fund. 2.1 Expenses to Be Paid by the Administrator. If the Administrator pays or assumes any expenses of the Fund or a Fund not required to be paid or assumed by the Administrator under this Agreement, the Administrator shall not be obligated hereby to pay or assume the same or any similar expense in the future; provided, that nothing herein contained shall be deemed to relieve the Administrator of any obligation to the Fund or to a Fund under any separate agreement or arrangement between the parties.
Expenses of Each Fund. 2.1 Expenses to Be Paid by the Administrator. The following expenses shall be paid or assumed by the Administrator under this Agreement. If the Administrator pays or assumes any expenses of the Trust or a Fund not required to be paid or assumed by the Administrator under this Agreement, the Administrator shall not be obligated hereby to pay or assume the same or any similar expense in the future; provided, that nothing herein contained shall be deemed to relieve the Administrator of any obligation to the Trust or to a Fund under any separate agreement or arrangement between the parties.
Expenses of Each Fund determine the outstanding receivables and payables for all (1) security trades, (2) Fund share transactions and (3) income and expense accounts;
Expenses of Each Fund. The Company and each Fund shall bear the following fees and expenses: (i) the fees of its investment advisers; (ii) the Administrator's compensation under this Agreement; (iii) any expenses of any "master" fund in which a Fund invests; and (iv) all other operating expenses of such Fund to the extent that such other operating expenses do not exceed 0.70% of such Fund's daily net assets on an annualized basis. Except as modified and amended hereby, the Agreement is hereby ratified and confirmed in full force and effect in accordance with its terms.

l. Expenses of preparing and typesetting of prospectuses of the Trust;
m. Expenses of printing and distributing prospectuses to shareholders of the Trust;
n. Association membership dues;
o. Insurance premiums for fidelity and other coverage;
p. Distribution Plan expenses, as permitted by Rule 12b-1 under the 1940 Act and as approved by the Board; and
q. Such other legitimate Trust expenses as the Board of Trustees may from time to time determine are properly chargeable to the Trust.
