Expiration of Time Sample Clauses
Expiration of Time. By either Skyline or CHC upon notification to the non-terminating party by the terminating party:
(i) at any time after September 30, 2020, if the Merger shall not have been consummated on or prior to such date and such failure to consummate the Merger is not caused by a breach of this Agreement by the terminating party;
(ii) if there has been a material breach of any representation, warranty, covenant or agreement on the part of the non-terminating party set forth in this Agreement, which breach is not curable or, if curable, has not been cured within thirty (30) days following receipt by the non-terminating party of notice of such breach from the terminating party; or
(iii) if any court of competent jurisdiction or other competent Governmental Entity shall have issued an Order or Law making illegal or otherwise restricting, preventing or prohibiting the Merger and such Order or Law shall have become final and non-appealable.
Expiration of Time. In any case where the time limited by this Agreement expires on a Saturday, Sunday or legal holiday in the Province of Alberta, the time limited shall be extended to and shall include the next succeeding day which is not a Saturday, Sunday or legal holiday in the Province of Alberta.
Expiration of Time. At the end of 36 months from the Effective Date (the "Term"); provided, however, that the Term shall be extended automatically at the end of each month by one additional month unless by such date the Compensation Committee or the Board of Directors gives written notice to the Employee that the Term shall not be so extended. Such notice may indicate that it shall have the effect of preventing any further extension of the Term.
Expiration of Time. In any case where the time limited by this Agreement expires on a Saturday, Sunday or legal holiday in the Northwest Territories, the time limited shall be extended to and shall include the next succeeding day which is not a Saturday, Sunday or legal holiday in the Northwest Territories.
Expiration of Time. By either Real Property Seller, Seller and Shareholder on the one hand, or Buyer and Real Property Buyer, on the other hand, immediately if the Closing shall not have taken place by the later of [May 31], 2000 or the expiration of the applicable ten day period set forth in Sections 11.1.1 and 11.
Expiration of Time. At the end of 24 months from the Effective Date.
Expiration of Time. By either Parent or PEI if, for any reason the ------------------ Closing shall not have taken place by November 30, 2001; provided, however, that neither Parent nor PEI shall be entitled to terminate this Agreement pursuant to this Section 7.1(c) if such party is in material breach of this Agreement at such time.
3. The parties to this Amendment further agree that the Indemnity Escrow and the Option Escrow shall be amended prior to Closing to provide that any dividend declared by the Parent's Board of Directors on the Parent Common Stock that is payable in cash shall be excluded from the Indemnity Escrow and the Option Escrow and paid to the Significant PEI Shareholders.
4. The amendments set forth in this Amendment shall become effective when this Amendment is fully executed by the parties hereto. Except as herein modified and amended, all the terms and conditions of the Original Agreement shall remain in full force and effect, and the execution of this Agreement shall in no event be deemed to constitute a waiver of any right or claim of any of the parties hereto under, or by virtue of, the Original Agreement. This Amendment may be executed in one or more counterparts, all of which shall be considered one and the same agreement.
Expiration of Time. By the Board of Directors of First M&F in writing or ------------------ by the Board of Directors of Community Federal in writing, if the Merger shall have not become effective on or before March 31, 2000, unless the absence of such occurrence shall be due to the failure of the Party seeking to terminate this Agreement to perform each of its obligations under this Agreement required to be performed by it on or prior to the Effective Date;
Expiration of Time. By written notice from Tri-County to Platte Valley or from Platte Valley to Tri-County, if the Closing Date shall not have occurred on or before June 30, 2001.
Expiration of Time. Expiration of 10 years after the date of this Agreement.
