Filing For Release. If Preferred Beneficiary believes in good faith that a Release Condition has occurred, Preferred Beneficiary may provide to DSI written notice of the occurrence of the Release Condition and a request for the release of the Deposit Materials. Upon receipt of such notice, DSI shall provide a copy of the notice to Depositor by commercial express mail.
Filing For Release. If Preferred Beneficiary believes in good faith that a Release Condition has occurred, Preferred Beneficiary may provide to Escrow Agent written notice of the occurrence of the Release Condition and a request for the release of the Deposit Materials. Upon receipt of such notice, Escrow Agent shall provide a copy of the notice to Depositor by commercial express mail.
Filing For Release. If Preferred Beneficiary believes in good faith that a Release Condition has occurred, Preferred Beneficiary may provide to DSI written notice of the occurrence of the Release Condition, stating therein the particular Release Condition that occurred, and a request for the release of the Deposit Materials. Such notice shall be signed by the Preferred Beneficiary and on company letterhead. Unless DSI acknowledges or discovers independently, or through the Parties, its need for additional documentation or information in order to comply with this Section, DSI shall promptly provide a copy of the notice to Depositor by commercial express mail. Such need for additional documentation or information may extend the time period for DSI’s performance under this Section.
Filing For Release. If Preferred Registrant believes in good faith that a Release Condition has occurred, Preferred Registrant may provide to DSI written notice of the occurrence of the Release Condition and a request for the release of the deposit materials. Upon receipt of such notice, DSI shall provide a copy of the notice to Depositor, by certified mail, return receipt requested, or by Federal Express or equivalent.
Filing For Release. If Preferred Beneficiary believes in good faith that a Release Condition has occurred, Preferred Beneficiary may provide to DSI written notice of the occurrence of the Release Condition and a request for the release of the Deposit Materials. DSI shall immediately deliver a copy of such notice to Depositor. No earlier than five (5) days and no later than 5:00 p.m. Pacific Time on the date which is ten (10) days after DSI's receipt of such notice, provided that DSI has not received a copy of a court order restraining release of the Deposit Materials, DSI shall deliver the Deposit Materials to Preferred Beneficiary, even if Depositor disputes the fact that Preferred Beneficiary is entitled to the Deposit Materials. If it is subsequently determined a Release Condition has not occurred, Preferred Beneficiary shall immediately return all copies of Deposit Materials in its possession or control to DSI and shall be liable for any expenses incurred by Depositor in demonstrating that no Release Condition had occurred.
Filing For Release. If Preferred Beneficiary believes in good faith that a Release Condition has occurred, Preferred Beneficiary may provide to DSI written notice of the occurrence of the Release Condition and a request for the release of the Deposit Materials. Within five (5) business days of receipt of a written notice, DSI shall provide a copy of the notice to Depositor. DSI will promptly notify the Parties unless DSI acknowledges or discovers independently, or through the Parties, its need for additional documentation or information in order to comply with this section. Such need for additional documentation or information may extend the time period for DSI’s performance under this section.
Filing For Release. If Licensee believes in good faith that a Release Condition has occurred, Licensee may provide to DSI written notice 20 of the occurrence of the Release Condition and a request for the release of the Deposit Materials. Upon receipt of such notice, DSI shall provide a copy of the notice to BroadVision, by a nationally recognized overnight courier.
Filing For Release. Customer may request that the Escrow Materials be released by providing to Escrow Agent (i) a duly executed certificate of an officer of Customer certifying that the NPAC/SMS Agreement has been terminated under the circumstances where Customer is entitled to receive a license to the NPAC/SMS Software as set forth in Sections 9.2 and 9.3 of the NPAC/SMS Agreement (the “Release Condition”) and (ii) a written request for the release of the Escrow Materials. Customer shall also provide a copy of each to Contractor, which shall be forwarded by fax and recognized overnight commercial courier to the addresses then in effect as provided in the NPAC/SMS Agreement. Upon receipt of such certificate and request, Escrow Agent shall provide a copy of both to Contractor by fax or recognized same day or overnight commercial courier.
Filing For Release. If Company believes in good faith that a Release Condition has occurred, Company may provide to Iron Mountain, with a copy to Amdocs, a written notice of the occurrence of the Release Condition and a request for the release of the Source Materials. In the event Amdocs disputes that a Release Condition has occurred, Amdocs will so notify Iron Mountain and Company and such dispute shall be resolved in accordance with Section 17.11, provided that escalation shall commence at level II and escalation to the Steering Committee shall not be necessary. Iron Mountain will continue to store the Source Materials without release pending (a) joint instructions from Amdocs and Company; (b) dispute resolution pursuant to Section 17.11 of the Agreement; or (c) order from a court of competent jurisdiction pursuant to Section 17.11 of the Agreement.
Filing For Release. If a Release Condition has occurred, then Cerner shall provide written 34 notice of the occurrence of the Release Condition and a request for the release of a copy of the Escrow 35 Material to Licensee(s).
