FLOW OF INFORMATION. 1. Each month, MFGT shall send a statement to the System User on the Express Services used in the relevant month, on the sum of services purchased against it and on the current balance of the Budget Limit regarding the relevant storage year, for the last day of the calendar month as the reporting date. 2. Throughout the term of this contract, MFGT shall inform the System User using a balance statement format with regard to the extent of the unspent Budget Limit for the reporting dates of 31.03, following the storage years. 3. Parties shall ensure that besides the regular contacts specified in this Contract, they shall notify each other of all incidents which may have an effect on their cooperation, and facilitate smooth communication via consultation opportunities and proper dataflow. 4. Information and data flow between the Parties shall be governed by the Grid Code and the ÁSZF. 1. Throughout the term of this contract, System User shall pay HUF + VAT Service Fee for the Budget Limit total of HUF + VAT. 2. The annual Budget Limit set forth in the Preamble – that is the Service Fee payable in the relevant storage year for using Express Services shall be the following per storage year: Storage Year Budget Limit (HUF) + VAT 3. The Service Fee shall be paid per storage year in one instalment until 03.31 preceding the relevant storage year. 4. Prior to each storage year, MFGT shall issue a periodic settlement invoice for the period until the end of the storage year. 5. Throughout the duration of the contract, MFGT shall issue an accounting document on the actual monthly service use, thus specifying the still available budget limit pursuant to Section IV.1 and IV.2 herein. 6. In case of using Daily Peak Plus, Storage Plus, Intraday Nomination Plus and Interruptible Injection and Withdrawal Capacity services, the consideration for such services shall be deducted from the System User’s Budget Limit until it is spent in full. System User shall be entitled to use the Express Services as per Annex No. 1 up to the Budget Limit. 7. MFGT undertakes that the scope and the specified unit fees of the Express Services shall not be modified during the term of this contract.

FLOW OF INFORMATION. Both contractual partners commit themselves to use the information resulting from these discussions for the exclusive purpose of the proposed cooperation while keeping it secret and in particular, to respect copyright and not to hinder the registration of industrial property rights. Information may not be communicated directly nor indirectly to third parties, neither orally nor in writing or any other form.

  • Release of Information Except as required by law, no public release of any information, or confirmation or denial of same, with respect to this Contract or the subject matter hereof, will be made by SELLER or its subcontractors without the prior written approval of LOCKHEED XXXXXX. SELLER shall not use "Lockheed Xxxxxx," "Lockheed Xxxxxx Corporation," or any other trademark or logo owned by LOCKHEED XXXXXX, in whatever shape or form, without the prior written consent of LOCKHEED XXXXXX.

  • Sharing of Information EWS and SNI (acting directly or through their respective Subsidiaries or Affiliates) shall provide to the other and their respective agents and vendors all Information as the other may reasonably request to enable the requesting Party to administer efficiently and accurately each of its Benefit Plans, to assist SNI in obtaining its own insurance policies to provide benefits under SNI Benefit Plans, and to determine the scope of, as well as fulfill, its obligations under this Agreement; provided, however, that in the event that any Party reasonably determines that any such provision of Information could be commercially detrimental to such Party or any member of its Group, violate any Law or agreement to which such Party or member of its Group is a party, or waive any attorney-client privilege applicable to such Party or member of its Group, the Parties shall provide any such Information and the Parties shall take all reasonable measures to comply with the obligations pursuant to this Section 11.01 in a manner that mitigates any such harm or consequence to the extent practicable, and the Parties agree to cooperate with each other and take such commercially reasonable steps as may be practicable to preserve the attorney-client privilege with respect to the disclosure of any such Information. Such Information shall, to the extent reasonably practicable, be provided in the format and at the times and places requested, but in no event shall the Party providing such Information be obligated to incur any out-of-pocket expenses not reimbursed by the Party making such request or make such Information available outside of its normal business hours and premises. Any Information shared or exchanged pursuant to this Agreement shall be subject to the same confidentiality requirements set forth in Section 7.08 of the Separation Agreement. The Parties also hereby agree to enter into any business associate agreements that may be required for the sharing of any Information pursuant to this Agreement to comply with the requirements of HIPAA.
