For Professional Services. The Parties shall execute a Statement of Work (“SOW”) that will describe the professional services to be performed by INAP, applicable pricing and other appropriate terms and conditions. Any subsequent changes to the SOW shall be agreed to in writing by both Parties through a change order (“SOW Change Order”).
For Professional Services. (excluding third party support services):
1. Professional Services provided on a time and materials basis will be invoiced monthly as Professional Services are performed by Seller (following depletion of the down payment); or
2. Professional Services provided on a fixed price basis are due either:
a. If specified in the applicable Order, monthly as Professional Services are performed by Seller (following depletion of the down payment, if any); or
b. Otherwise, periodically based on mutually agreed upon milestones as set forth in the applicable Order (following depletion of the down payment, if applicable). Milestone invoices shall be issued upon the date the applicable milestone is accepted, or deemed accepted pursuant to this subsection, by Customer. Seller will provide Customer with a written acceptance acknowledgement form upon the substantial completion of the Professional Services associated with each milestone. Within ten (10) days of Customer’s receipt of such form, Customer may either sign such form confirming Customer’s acceptance of such milestone or provide Seller written notice disputing such milestone completion. If Customer provides written notice of a dispute, such milestone shall be deemed accepted by Customer immediately once such defects are remedied by Seller. If Customer fails to sign the applicable form or provide Seller written notice of a dispute, then the applicable milestone shall be deemed accepted by Customer upon the expiration of such ten (10) day period.
For Professional Services. Invoicing for Professional Services will be as follows:
For Professional Services. The re-performance of Professional Services, or if Nuance is unable to perform the services as warranted, Customer shall be entitled to recover the fees paid therefor.
For Professional Services data of yours that F5 professional services personnel review or otherwise process when providing Professional Services to you.
For Professional Services. The emergence of different project delivery methods has created situations where Professional Service Agreements (PSAs) includes tasks that meet the definition of construction, alteration, or repair as defined in 29 CFR Part 5. If such tasks result in work that qualifies as construction, alteration, or repair and it exceeds $2,000, the PSA must incorporate the Xxxxxxxx Anti-kickback provision. Use of Provision: 29 CFR 5 establishes the specific language the sponsor must use without modification. A/E firms that employ laborers and mechanics on a task that meets the definition of construction, alteration, or repair are acting as a contractor. The sponsor may not substitute the term “Contractor” for “Consultant” in such instances.
For Professional Services. All other terms and conditions of the Contract dated September 22, 2022, as amended, shall remain in full force and effect.
For Professional Services. Customer will pay all Fees for Professional Services ordered under the Agreement. Actifio will invoice Customer for the Fees. Customer will pay all invoiced amounts by the Payment Due Date. All payments are due in the currency described in the invoice. Wire transfer payments will include the bank information described in the invoice. Fees for some Professional Services are non- cancellable, as specified on a Statement of Work. Customer hereby consents to receiving invoices from and agrees to pay Fees to Google LLC or any of its Affiliates (“Google”) should Actifio provide notice in writing that it desires Customer to make any payments due under this Agreement to Google.
For Professional Services. Each SOW for Professional Services will specify the effective date and the term of such SOW. Renewal of the term of Professional Services requires execution of an SOW or addendum extending the term of such Services.
For Professional Services. Halff Associates anticipates a monthly draw for professional services of seven thousand dollars and zero cents; $7000.
