FORM OF INDEMNITY. THIS INDEMNITY (this “Indemnity”) by [insert name of Millennium indemnitor], a [insert state] corporation (“Millennium Indemnitor”), is in favor of EQUISTAR CHEMICALS, LP, a Delaware limited partnership (the “Partnership”).
FORM OF INDEMNITY. The Sponsor indemnifies and holds harmless the Trial Site and its employees and Agents against all claims and proceedings (to include any settlements or ex gratia payments made with the consent of the Parties hereto and reasonable legal and expert costs and expenses) made or brought (whether successfully or otherwise): by or on behalf of Participants and (or their dependants) against the Trial Site or any of its employees or Agents for personal injury (including death) to Participants arising out of or relating to the administration of the Investigational Medical Devices under investigation or any clinical intervention or procedure provided for or required by the Clinical Investigation Plan to which the Participants would not have been exposed but for their participation in the Clinical Investigation; by the Trial Site, its employees or Agents or by or on behalf of a Participant for a declaration concerning the treatment of a Participant who has suffered such personal injury. The above indemnity by the Sponsor shall not apply to any such claim or proceeding: to the extent that such personal injury (including death) is caused by the negligent or wrongful acts or omissions or breach of statutory duty of the Trial Site, its employees or Agents; to the extent that such personal injury (including death) is caused by the failure of the Trial Site, its employees, or Agents to conduct the Clinical Investigation in accordance with the Clinical Investigation Plan; unless as soon as reasonably practicable following receipt of notice of such claim or proceeding, the Trial Site shall have notified the Sponsor in writing of it and shall, upon the Sponsor’s request, and at the Sponsor’s cost, have permitted the Sponsor to have full care and control of the claim or proceeding using legal representation of its own choosing; if the Trial Site, its employees, or Agents shall have made any admission in respect of such claim or proceeding or taken any action relating to such claim or proceeding prejudicial to the defence of it without the written consent of the Sponsor such consent not to be unreasonably withheld provided that this condition shall not be treated as breached by any statement properly made by the Trial Site, its employees or Agents in connection with the operation of the Trial Site’s internal complaint procedures, accident reporting procedures or disciplinary procedures or where such a statement is required by law.   • Scope of Indemnity To the fullest extent permitted by law, Contractor shall defend, indemnify and hold the District, its officials, employees, agents and authorized volunteers free and harmless from any and all claims, demands, causes of action, suits, actions, proceedings, costs, expenses, liability, judgments, awards, decrees, settlements, loss, damage or injury of any kind, in law or equity, to property or persons, including wrongful death, (collectively, “Claims”) in any manner arising out of, pertaining to, or incident to any alleged acts, errors or omissions, or willful misconduct of Contractor, its officials, officers, employees, subcontractors, consultants or agents in connection with the performance of the Contractor’s services, the Project or this Agreement, including without limitation the payment of all consequential damages, expert witness fees and attorneys’ fees and other related costs and expenses. Notwithstanding the foregoing, to the extent required by Civil Code section 2782, Contractor’s indemnity obligation shall not apply to liability for damages for death or bodily injury to persons, injury to property, or any other loss, damage or expense arising from the sole or active negligence or willful misconduct of the District or the District’s agents, servants, or independent contractors who are directly responsible to the District, or for defects in design furnished by those persons.

  • Payment of Indemnification If, in regard to any Losses:

  • Exclusion of Indemnification Notwithstanding any provision to the contrary contained herein, there shall be no right to indemnification for any liability arising by reason of the Agent’s Disqualifying Conduct. In respect of any claim, issue or matter as to which that Person shall have been adjudged to be liable in the performance of that Person’s duty to the Trust or the Shareholders, indemnification shall be made only to the extent that the court in which that action was brought shall determine, upon application or otherwise, that in view of all the circumstances of the case, that Person was not liable by reason of that Person’s Disqualifying Conduct.

  • Operation of Indemnities Indemnification under this Article shall include, without limitation, reasonable fees and expenses of counsel and expenses of litigation. If the Company or the Servicer has made any indemnity payments to the Trustee pursuant to this Article and the Trustee thereafter collects any of such amounts from others, the Trust will repay such amounts collected to the Company or the Servicer, as the case may be, without interest.
