Free Tier. If You register for a free tier offer, Xxxxxxxx will make the Service available to You on a free tier basis until the earlier of (a) termination, (b) the end of the relevant free tier period for which You registered to use the applicable Service, if applicable or (c) consumption of relevant credits attached to the free tier offer, if applicable. You may not create more than one account to benefit from credits provided in the free tier of the Service. If Xxxxxxxx believes Customer or Users are not using the free tier in good faith, Xxxxxxxx may charge Customer standard fees or stop providing access to the Service. YOUR CONTENT ON OUR SYSTEMS OR IN OUR POSSESSION OR CONTROL AND ANY CUSTOMIZATIONS MADE TO THE SERVICE BY OR FOR YOU, DURING THE FREE TIER PERIOD MAY BE PERMANENTLY LOST OR DELETED AT THE END OF THE FREE TIER PERIOD. TALARIAN WILL HAVE NO LIABILITY FOR ANY HARM OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH A FREE TIER OFFER.

We may change the terms and conditions applicable to the free tier or discontinue offering the free tier at any time. We reserve the right to disable, terminate, use of the free tier, with or without notice, at our sole discretion.
Free Tier. You may Use Airia Services for up to 5,000 transactions per month at no charge.
Free Tier. If Customer registers on Metafold’s website for a free tier license, Metafold will make the applicable SAAS Product(s) available to Customer on a trial basis free of charge until the earlier of (a) the end of the free trial period for which Customer registered to use the applicable SAAS Product(s), or (b) the start date of any purchased SAAS Product(s) subscriptions ordered by Customer for such SAAS Product(s), or (c) termination by Metafold in its sole discretion. Additional trial terms and conditions may appear on the trial registration web page. Any such additional terms and conditions are incorporated into this Agreement by reference and are legally binding. ANY DATA CUSTOMER ENTERS INTO THE SAAS PRODUCT(S), AND ANY CUSTOMIZATIONS MADE TO THE SAAS PRODUCT(S) BY OR FOR CUSTOMER, DURING CUSTOMER’S FREE TRIAL WILL BE PERMANENTLY LOST UNLESS CUSTOMER PURCHASES A SUBSCRIPTION TO THE SAME SAAS PRODUCT(S) AS THOSE COVERED BY THE TRIAL, SUBSCRIPTION PURCHASES APPLICABLE UPGRADED SAAS PRODUCT(S), OR EXPORTS SUCH DATA, BEFORE THE END OF THE TRIAL PERIOD. CUSTOMER CANNOT TRANSFER DATA ENTERED OR CUSTOMIZATIONS MADE DURING THE FREE TRIAL TO A SAAS PRODUCT(S) THAT WOULD BE A DOWNGRADE FROM THAT COVERED BY THE TRIAL; THEREFORE, IF CUSTOMER PURCHASES A SAAS PRODUCT(S) SUBSCRIPTION THAT WOULD BE A DOWNGRADE FROM THAT COVERED BY THE TRIAL, CUSTOMER MUST EXPORT CUSTOMER DATA BEFORE THE END OF THE TRIAL PERIOD OR CUSTOMER DATA WILL BE PERMANENTLY LOST.

  • Indemnity Limitation for TIPS Sales Texas and other jurisdictions restrict the ability of governmental entities to indemnify others. Vendor agrees that if any "Indemnity" provision which requires the TIPS Member to indemnify Vendor is included in any TIPS sales agreement/contract between Vendor and a TIPS Member, that clause must either be stricken or qualified by including that such indemnity is only permitted, "to the extent permitted by the laws and constitution of [TIPS Member's State]” unless the TIPS Member expressly agrees otherwise. Any TIPS Sale Supplemental Agreement containing an "Indemnity" clause that conflicts with these terms is rendered void and unenforceable.
