Future Environmental Audits. Mortgagor will provide such information and certifications which Bank may reasonably request from time to time to monitor Mortgagor’s compliance with this Article for the sole purpose of protecting Bank’s security interest. To protect its security interest, Bank will have the right, but not the obligation, at any time upon reasonable prior notice and without unreasonable interference with any tenant’s business to enter upon the Premises, take samples, review Mortgagor’s books and records, interview Mortgagor’s employees and officers, and conduct such other activities as Bank, at its sole discretion, deems appropriate. Mortgagor will cooperate fully in the conduct of such an audit. If Bank decides to conduct such an audit because of: (1) an Environmental Action; (2) Bank’s considering taking possession of or title to the Premises after an Event of Default by Mortgagor; (3) a material change in the use of the Premises, which in Bank’s opinion, increases the risk to its security interest due to an Environmental Action; or (4) the introduction of Hazardous Material other than Disclosed Material to the Premises other than as permitted by this Mortgage; then Mortgagor will pay upon demand all costs and expenses connected with such audit, which, until paid, will become additional indebtedness secured by the Loan Documents and will bear interest at the Default Rate. Nothing in this Article may give or be construed as giving Bank the right to direct or control Mortgagor’s actions in complying with Environmental Laws.

Future Environmental Audits. Each Borrower shall provide --------------------------- such information and certifications which Bank may reasonably request from time to time to monitor Borrowers' compliance with this Paragraph for the sole purpose of protecting Bank's security interest. To protect its security interest, Bank shall have the right, but not the obligation, at any time after three (3) days' advance written notice to enter upon the Mortgaged Properties, take samples, review each Borrower's books and records, interview each Borrower's employees and officers, and conduct such other similar activities as Bank, in its sole discretion, deems appropriate. Each Borrower shall cooperate fully in the conduct of such an audit. If Bank decides to conduct such an audit because of (i) an Environmental Claim, (ii) after an Event of Default, the possibility that Bank may take possession of or title to the Mortgaged Properties which, in Bank's sole judgment, increases the risk to its security interest, or (iii) the introduction of Hazardous Material other than disclosed material as set forth on Schedule 8.1(n), to the Mortgaged Properties or in the ordinary --------------- course of business in compliance with Environmental Laws, then Borrowers shall pay upon written demand all reasonable costs and expenses connected with such audit, which, until paid, shall become part of Borrowers' Liabilities, secured by this Agreement and the Other Agreements, and shall bear interest at the Default Rate.
Future Environmental Audits. Mortgagor shall provide such information and certifications which Mortgagee may reasonably request from time to time to monitor Xxxxxxxxx’s compliance with this ARTICLE SIX for the sole purpose of protecting Mortgagee’s security interest. To protect its security interest, Mortgagee shall have the right, but not the obligation, at any time to enter upon the Mortgaged Property, take samples, review Xxxxxxxxx’s books and records, interview Xxxxxxxxx’s employees and officers, and conduct such other activities as Mortgagee, at its reasonable discretion, deems appropriate and is permitted by applicable Environmental Laws and the permits and licenses applicable to the Project. If Mortgagee visits the site as part of an audit or to sample, the Mortgagee will participate in required training and adhere to all site safety and environmental rules and regulations during the course of the visit or work on site. Samples which may contain source or byproduct material must be sent to a commercial lab with a U.S. Nuclear Regulatory Commission license. Mortgagor shall cooperate fully in the conduct of such an audit. If Mortgagee decides to conduct such an audit because of (i) an Environmental Action; (ii) Mortgagee’s considering taking possession of or title to the Mortgaged Property after default by Mortgagor; (iii) a material change in the use of the Mortgaged Property, which in Mortgagee’s opinion, increases the risk to its security interest; or (iv) the introduction of Hazardous Substances other than those permitted by permits and licenses applicable to the Project and Disclosed Materials to the Mortgaged Property; then Mortgagor shall pay upon demand all costs and expenses connected with such audit, which, until paid, shall become additional indebtedness secured by the Loan Documents and shall bear interest at the rate of interest set forth in the Bond. Nothing in this ARTICLE SIX shall give or be construed as giving Mortgagee the right to direct or control Mortgagor’s actions in complying with applicable Environmental Laws. or otherwise be considered “Participation in Management” by Mortgagee as that term is defined in applicable Environmental Laws.
Future Environmental Audits. Borrower shall provide such information and certifications which Lender may reasonably request from time to time to insure Borrower's compliance with this Article. To investigate Borrower's compliance with Environmental Laws and with this Article, Lender shall have the right, but no obligation, at any time to enter upon the Property, take samples, review Borrower's books and records, interview Borrower's employees and officers, and conduct such other activities as Lender, at its sole discretion, deems appropriate to ensure Borrower's compliance. Borrower shall cooperate fully in the conduct of such an audit. If Lender decides to conduct such an audit because of (i) an Environmental Action; (ii) Lender's considering taking possession of or title to the Property after default by Borrower; (iii) a material change in the use of the Property, which in Lender's opinion, increases the risk of non-compliance with Environmental Laws; or (iv) the introduction of Hazardous Material other than Permitted Material to the Property; then Borrower shall pay upon demand all costs and expenses connected with such audit, which, until paid, shall become additional indebtedness secured by the Loan Documents and shall bear interest at the Default Rate. Nothing in this Article shall give or be construed as giving Lender the right to direct or control Borrower's actions in complying with Environmental Laws.
Future Environmental Audits. The Borrowers shall provide such information and certifications which the Administrative Agent may request from time to time to ensure the Borrowers’ compliance with this Agreement. The Administrative Agent shall have the right, but not the obligation, at any time following an Event of Default or at any time the Administrative Agent reasonably believes that an Environmental Claim has occurred, to enter upon the real property of the MPW Companies and each Subsidiary collect media samples, review the MPW Companies’ and each Subsidiary’s books and records, interview their employees and officers, cause an environmental site assessment to be performed if reasonably warranted by said Event of Default or Environmental Claim, and conduct such other activities as the Administrative Agent, in its good faith discretion, deems appropriate to ensure the Borrowers’ compliance with the terms, covenants and conditions of this Agreement. The Borrowers shall, upon demand, pay all costs connected with such audit, which, until paid, shall become additional indebtedness secured by the Loan Documents and shall bear interest at the rate applicable at the time of Event of Default as set forth in 4.1(b) of this Agreement. Nothing in this Agreement shall give or be construed as giving the Administrative Agent the right to direct or control the MPW Companies’ actions in complying with Environmental Laws.

  • Environmental Audits From time to time, as requested by Lender, at the sole expense of Borrower, Borrower shall provide Lender, or its designee, complete access to all of Borrower's facilities for the purpose of conducting an environmental audit of such facilities as Lender or its designees may deem necessary. Borrower agrees to cooperate with Lender with respect to any environmental audit conducted by Lender or its designee pursuant to this Section 5.10.

  • Environmental Audit If required by the Administrative Agent, reports and other information in form, scope and substance satisfactory to the Administrative Agent and prepared by environmental consultants satisfactory to the Administrative Agent, concerning any environmental hazards or liabilities to which any Credit Party may be subject with respect to such Additional Mortgaged Property; and

  • Environmental Remediation Failure to remediate (or pursue the remediation process with due diligence and good faith) within the time period required by law or governmental order, (or within a reasonable time in light of the nature of the problem if no specific time period is so established), environmental problems in violation of Applicable Law related to Properties of the Borrower and/or its Subsidiaries where the estimated cost of remediation is in the aggregate in excess of Seventy-Five Million Dollars ($75,000,000), in each case after all administrative hearings and appeals have been concluded.

  • Environmental Assessments Foreclose on or take a deed or title to any commercial real estate without first conducting a Phase I environmental assessment of the property or foreclose on any commercial real estate if such environmental assessment indicates the presence of a Hazardous Substance in amounts which, if such foreclosure were to occur, would be material.

  • Environmental Assessment In connection with its surrender of the Premises, Tenant shall submit to Landlord, at least fifteen (15) days prior to the expiration date of this Lease (or in the event of an earlier termination of this Lease, as soon as reasonably possible following such termination), an environmental Assessment of the Premises by a competent and experienced environmental engineer or engineering firm reasonably satisfactory to Landlord (pursuant to a contract approved by Landlord and providing that Landlord can rely on the Environmental Assessment).   • Environmental Conditions A Phase I environmental site assessment (or update of a previous Phase I and or Phase II environmental site assessment) and, with respect to certain Mortgage Loans, a Phase II environmental site assessment (collectively, an “ESA”) meeting ASTM requirements conducted by a reputable environmental consultant in connection with such Mortgage Loan within 12 months prior to its origination date (or an update of a previous ESA was prepared), and such ESA (i) did not identify the existence of Recognized Environmental Conditions (as such term is defined in ASTM E1527-05 or its successor, hereinafter “Environmental Condition”) at the related Mortgaged Property or the need for further investigation, or (ii) if the existence of an Environmental Condition or need for further investigation was indicated in any such ESA, then at least one of the following statements is true: (A) an amount reasonably estimated by a reputable environmental consultant to be sufficient to cover the estimated cost to cure any material noncompliance with applicable Environmental Laws or the Environmental Condition has been escrowed by the related Mortgagor and is held or controlled by the related lender; (B) if the only Environmental Condition relates to the presence of asbestos-containing materials, radon in indoor air, lead based paint or lead in drinking water, the only recommended action in the ESA is the institution of such a plan, an operations or maintenance plan has been required to be instituted by the related Mortgagor that can reasonably be expected to mitigate the identified risk; (C) the Environmental Condition identified in the related environmental report was remediated, abated or contained in all material respects prior to the date hereof, and, if and as appropriate, a no further action, completion or closure letter or its equivalent, was obtained from the applicable governmental regulatory authority (or the Environmental Condition affecting the related Mortgaged Property was otherwise listed by such governmental authority as “closed” or a reputable environmental consultant has concluded that no further action or investigation is required); (D) an environmental policy or a lender’s pollution legal liability insurance policy that covers liability for the Environmental Condition was obtained from an insurer rated no less than “A-” (or the equivalent) by Xxxxx’x, S&P and/or Fitch; (E) a party not related to the Mortgagor was identified as the responsible party for the Environmental Condition and such responsible party has financial resources reasonably estimated to be adequate to address the situation; or (F) a party related to the Mortgagor having financial resources reasonably estimated to be adequate to address the situation is required to take action. To Seller’s knowledge, except as set forth in the ESA, there is no Environmental Condition at the related Mortgaged Property.
