General Promotion Considerations. Promotion is not an entitlement awarded to a faculty member for longevity. The candidate must earn the promotion by fulfilling the requirements and demonstrating in the promotion file that they have been fulfilled. New faculty members should become familiar with the qualifications, the procedures, the schedule for application, and the structure of the promotion file that each candidate must prepare. Department Chairs should do what is reasonable to assure that new faculty are familiar with the guidelines of this policy and assist their faculty in the preparation of the promotion files well in advance of the deadline for submission. Faculty should be aware that FHSU-AAUP is available to help them if they encounter difficulties in the promotion process. Faculty should understand that it is better to contact the FHSU-AAUP sooner rather than later if they encounter a problem.

Department (or unit) criteria for promotion must be developed by the department faculty and be approved by the faculty, the department chair, xxxx and Xxxxxxx. The official listing of the department criteria must include the date approved by faculty and phase in plan.

In consideration of the full settlement, satisfaction, compromise and release of the Released Plaintiffs’ Claims, an aggregate $115 million in cash (the “Escrow Amount”) shall be paid on behalf of the Settling Defendants to Freeport by the D&O Carriers. The Settling Defendants shall cause the Escrow Amount to be deposited by the D&O Carriers into an interest-bearing escrow account controlled by an agreed upon representative of Plaintiffs and of the Settling Defendants (the “Escrow Account”) within fifteen (15) business days after the Stipulation is submitted to the Court. Upon the Effective Date, the Escrow Amount, together with any and all interest thereon, shall be paid to Freeport from the Escrow Account. For the avoidance of doubt, the Settling Defendants shall have no obligation to deposit any portion of the Escrow Amount into the Escrow Account but shall have an obligation to take all reasonably available steps to seek to cause the D&O Carriers to deposit the Escrow Amount into the Escrow Account.
