Governing Law, Venue and Attorney Fees. This Agreement is made and entered into and is to be governed by the laws of the State of Florida applicable to agreements made within such State, without regard to the conflicts of law principles of such State. The Venue for all purposes in connection with this Agreement shall be the County of St. Xxxx, State of Florida. In the event any party hereto reasonably retains counsel for the purpose of enforcing or preventing the breach of this Agreement or any provision hereof, including, but not limited to, instituting any action or proceeding to enforce any provision hereof, for damages by reason of any alleged breach of any provision hereof, for a declaration of such party’s rights or obligations hereunder, for an action seeking injunctive relief to enforce any provision herein, or for any other judicial remedy, then the prevailing party shall be entitled, in addition to such other relief as may be granted, to be reimbursed by the non-prevailing party for all costs and expenses incurred thereby, including reasonable attorney’s fees.

Venue of any action filed to enforce or interpret the provisions of this Contract shall be exclusively in the United States District Court for the Eastern District of Washington or the Superior Court of the State of Washington for Chelan County, and the Parties irrevocably submit to the exclusive jurisdiction of any such court. In the event of litigation to enforce the provisions of this Contract, the prevailing Party shall be entitled to reasonable attorney’s fees in addition to any other relief allowed. Each Party waives its respective right to any jury trial with respect to any litigation arising under or in connection with this Contract.

Any action, suit or proceeding relating to this Agreement shall be exclusively brought in the applicable court of Hong Kong. In the event of any such action, suit, or proceeding, the prevailing party shall be entitled to receive from the other party its attorney’s fees, costs, and expenses incurred in connection therewith. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
