Governing Legislation. 12.1 This Agreement is governed by the laws of New South Wales (NSW), Australia, and all parties submit to the jurisdiction of the courts of NSW.
Governing Legislation. Except as expressly stipulated in this Agreement to the contrary, the rights and obligations of the Partners and the administration and termination of the Partnership shall be governed by the Partnership Act (Ontario) (the “Act”) or any successor legislation or other statute which may be passed to take the place of the Act or to amend same.

(a) Subject to the terms of this Agreement, or unless otherwise agreed by the parties, each arbitration pursuant to this Agreement shall be governed by and conducted pursuant to the Commercial Arbitration Code (the "Code") being a schedule to the Commercial Arbitration Act, R.S.C. 1985, c-17 (2nd Supp.) and all regulations made and, from time to time, in force under that Act.
