Government Approval and Registration. Each Party agrees to take all necessary steps to gain government approval applicable to such Party’s obligations under this Agreement at its own expense. If any approval or registration of this Agreement (the “Required Registrations”) shall be required by a Party with regard to the obligations of such Party under this Agreement, either initially or at any time during the Term, in order to give this Agreement legal effect in applicable jurisdictions, including, without limitation, the United States and Israel, such Party agrees, at its expense, to take whatever steps may be necessary to secure such Required Registration, immediately and prior to commencing any activities that are subject to such approval or registration. The other Party shall provide the required Party all reasonable assistance, at its own expense, to comply with all the regulations and acquire all Required Registrations.

  • GOVERNMENT APPROVAL OR REGISTRATION If this Agreement or any associated transaction is required by the law of any nation to be either approved or registered with any governmental agency, the Licensee will assume all legal obligations to do so.
