Government Approvals, Etc. No Government Approval or filing or registration with any Governmental Authority is required for the making and performance by the Borrower or any Guarantor of the Loan Documents or in connection with any of the transactions contemplated hereby or thereby, except such as have been heretofore obtained and are in full force and effect (certified copies thereof having been delivered to the Agent).

Government Approvals, Etc. (a) Any approval of any Governmental Authority or registration or filing with any Governmental Authority now or hereafter required in connection with the performance by the Borrower or any Material Subsidiary of its obligations under this Agreement or any other Loan Document is revoked, withdrawn or withheld or shall fail to remain in full force and effect; or (b) any Governmental Authority shall take any act that, in the reasonable opinion of the Agent, deprives the Borrower or any Material Subsidiary of any substantial right, privilege or franchise or substantially restricts the exercise thereof, where the effect of such act, if not revoked or rescinded, could reasonably be expected to have a Material Adverse Effect on the Borrower or any Material Subsidiary and such act shall not be revoked or rescinded within thirty (30) days after it shall have become effective; or
