GOVERNMENTAL APPROVALS; PERMITS. In the event that any governmental permit, approval or authorization required for Licensor’s use of, operation of, or right to license space to Licensee at the Tower Facility is terminated or withdrawn by any governmental authority or third party as part of any governmental, regulatory, or legal proceeding, Licensor may terminate this Agreement. Licensee hereby agrees that in the event of a governmental or legal order requiring the removal of the Approved Equipment from the Tower, the modification of the Tower, or the removal of the Tower, Licensee shall remove the Approved Equipment promptly, but in no event later than the date required by such order, at Licensee’s sole cost and expense. Licensor shall cooperate with Licensee in Licensee's efforts to obtain any permits or other approvals that may be necessary for Licensee’s installation and operation of the Approved Equipment, provided that Licensor shall not be required to expend any funds or undertake any liability or obligation in connection with such cooperation. Licensor may elect to obtain such required approvals or permits on Licensee’s behalf, at Licensee’s sole cost and expense. In no event may Licensee encourage, suggest, participate in or permit the imposition of any restrictions or additional obligations whatsoever on the Tower Facility or Licensor’s current or future use or ability to license space at the Tower Facility as part of or in exchange for obtaining any such approval or permit. In the event that Licensee’s shelter or cabinets are installed above a third-party or Licensor-owned shelter or building, Licensee shall be solely responsible for obtaining any required approvals, or permits in connection with such shelter or cabinet installation, excepting the consent of other users at the Tower Facility and/or the ground landlord which shall remain the sole responsibility of Licensor where required.
GOVERNMENTAL APPROVALS; PERMITS. CONSENTS, ETC. Trustee and each Holder shall have received copies of all material permits, approvals or consents by all Governmental Agencies required for or in connection with the use and operation of the Equipment and the transactions provided for in this Agreement, together with all supporting documents and materials reasonably requested by any Holder.
GOVERNMENTAL APPROVALS; PERMITS. The Borrower shall have obtained all federal, state and local governmental and regulatory consents, approvals, Licenses and permits as required or necessary for Borrower to commence with the construction and development of the New York PCS Network as contemplated for the current stage of construction and development on the Closing Date and operate its business pursuant to the Approved Full Term Operating Business Plan and the Administrative Agent and each of the Lenders shall receive a certificate of an authorized officer of Borrower to that effect dated the Closing Date. Notwithstanding the above, if Borrower is unable to obtain all such consents, approvals, Licenses and permits prior to the Closing Date, it shall deliver a list disclosing those material consents, approvals, Licenses and permits it was unable to obtain which Administrative Agent and the Required Lenders in their discretion may or may not approve.
GOVERNMENTAL APPROVALS; PERMITS. To Seller's Knowledge, Seller does not need any Approval or Order or action of or filing with any Governmental Entity for the execution and delivery by Seller of the Transaction Documents or the consummation by Seller of the Transaction; provided, however, that Seller makes no such representation or warranty with respect to any conditional use permit or other entitlement for the Las Vegas Club. To Seller's Knowledge, Seller has received no written notice of any threatened suspension, cancellation or termination of any Permits required by any Governmental Entity to permit the Las Vegas Club to be operated the suspension, cancellation or termination of which could reasonably be expected to have a material adverse effect on the operations of the Las Vegas Club.
GOVERNMENTAL APPROVALS; PERMITS. Agent shall have received evidence satisfactory to it that all necessary approvals and consents, including, without limitation, any such approvals or consents with regards to Xxxx-Xxxxx-Xxxxxx, have been obtained, and that Borrower and each Covered Person has all Material Licenses necessary to operate its business.
GOVERNMENTAL APPROVALS; PERMITS. Except as set forth in Schedule 3.2(c) or as would not have a Material Adverse Effect, (i) no consent, order, waiver, approval or authorization of, or registration, designation, declaration or filing with, any governmental agency or authority, whether federal or other, or to the Companies' knowledge, any third party, on the part of the Companies, is required in connection with the execution and delivery by the Sellers of this Agreement or the consummation of the transactions contemplated hereby (other than pursuant to the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended (the "HSR Act"), and except as would not have a Material Adverse Effect), and (ii) each of the Companies possesses, all licenses and permits necessary or appropriate for the conduct of its business, all of which are in full force and effect without default or notice thereof.
GOVERNMENTAL APPROVALS; PERMITS. The Borrower has all requisite power and authority and has received all Governmental Approvals from all Governmental Authorities required in connection with (i) the ownership, construction, operation and maintenance by it of its properties and the conduct of its present and proposed businesses, and (ii) the execution, delivery and performance by it of the Loan Documents.
GOVERNMENTAL APPROVALS; PERMITS. (a) The Company and the Company Subsidiaries hold all Governmental Approvals that are necessary for the operation of the business of the Company and/or the Company Subsidiaries as presently conducted in all material respects, or that are necessary for the lawful ownership of their respective material properties and assets. Except as set forth in Section 2.15(a) of the Disclosure Schedules or as would not be material to the Company or any Company Subsidiaries, such Governmental Approvals are valid and in full force and effect, and no Proceeding is pending or, or the Knowledge of the Company, threatened, to revoke any Governmental Approval of the Company or any of the Company Subsidiaries.
