Grant of Right of First Negotiation. Refusal to Expand Licensed Items. If during the Initial Term of this Agreement Licensor desires to license the rights to use the Trademark in connection with plus size ranges of denim and sportswear larger than size 24, Licensee shall be given the first opportunity to expand the line of Licensed Items to include such additional plus size ranges and to manufacture, distribute, market, advertise and sell the same under the terms of this Agreement. Thereafter, while this Agreement is in effect, Licensor shall not grant to any third party the right to manufacture, distribute, market, advertise and/or sell such additional plus size ranges of denim and sportswear without first giving Licensee the right of first refusal to match the terms of any bona fide third party offer received by Licensor which is otherwise acceptable to Licensor.
Grant of Right of First Negotiation. Subject to the provisions, limitations and conditions set forth in this Section 12, Tenant shall have a one time first right to negotiate ("Right of First Negotiation") with Landlord for the leasing of the premises located in the building adjacent to the Premises commonly known as 48630-48634 Milmont Drive, Fremont, California (the "Expansion Space"), as depicted on Exhibit A attached hereto.
Grant of Right of First Negotiation. In the event Tenant intends to sell or to make the land described in Exhibit 1 ("Phase 3 Land") or Exhibit 2 ("Phase 4 Land") available for purchase to unrelated third parties, Tenant shall give Landlord written notice of this intention (the "Notice"). In the event Landlord desires negotiate for the purchase of either the Phase 3 Land or the Phase 4 Land, as designed in the Notice, Landlord shall give to Tenant a written notice of such desire (the "Interest Notice") within seven days of receipt of the Notice. If no Interest Notice is timely given by Landlord, then Landlord shall have no further rights under this Paragraph 1. In the event an Interest Notice is timely given by Landlord, then Tenant and Landlord shall negotiate during the 10-day period following the giving of the Interest Notice in a good faith attempt to execute a definitive purchase and sale agreement whereby Tenant would sell to Landlord and Landlord would purchase from Tenant the applicable land. However, neither party shall have any obligation to execute a purchase and sale agreement, not acceptable to such party, in its sole and absolute discretion. In the event the parties fail to execute a mutually agreeable purchase and sale agreement within the 10-day period allowed, or in the event such a purchase and sale agreement is executed but is subsequently terminated without consummation of the sale, Landlord shall have no further rights under this Paragraph 1. In no event whatsoever shall Landlord have the right to assert any right to purchase the applicable land once Tenant has executed a contract for the sale of the applicable land to a third party as otherwise permitted under this Paragraph 1. Any transaction whereby the applicable land is sold to Landlord will be on the basis that Tenant shall pay no real estate commission on account of such sale to any broker representing Landlord.
Grant of Right of First Negotiation. Medical Center hereby grants to District a right of first negotiation (the “Right of First Negotiation”) to purchase the Property and all right title interest Medical Center has in easements and appurtenances thereto, on the terms and conditions set forth in this Agreement. Medical Center will not solicit nor accept an offer for the sale of the Property or lease of the Property for a term of more than ten (10) years without first offering to sell the Property to District by written notice (“Notice”). The word "sell" shall include any transfer, conveyance, assignment, hypothecation, or pledge of all or any portion of the Property or Medical Center's interest in the Property. If Medical Center and District do not execute a written agreement for sale of the Property within sixty (60) days following delivery of the Notice to District, then Medical Center shall be free to solicit and accept offers from other parties, subject to District’s right of first refusal set forth in Section 2, below.

  • Right of First Negotiation If during the term of this Agreement, Onconova desires to develop and/or commercialize in the Licensed Territory any product containing a Related Compound (as defined below), either itself or with or through an Affiliate or a Third Party, Onconova shall, prior to the commencement of any such activities in or with respect to the Licensed Territory, notify SymBio in writing of Onconova’s intent to conduct such activities (directly or with or through an Affiliate or a Third Party). Together with such notice, Onconova shall provide to SymBio all material information in Onconova’s Control regarding such Related Compound and the basis for Onconova’s interest in conducting such activities with respect thereto. Within ** after receiving such notice and information, SymBio shall notify Onconova in writing whether or not SymBio is interested in negotiating the terms pursuant to which SymBio would obtain a license or right to conduct such activities with respect to such Related Compound in the Licensed Territory. If SymBio notifies Onconova that SymBio is interested in negotiating such terms, the Parties shall negotiate in good faith for up to ** after Onconova receives such notice from SymBio the terms pursuant to which SymBio would obtain such rights. If the Parties do not enter into such an agreement within such negotiation period, or if SymBio does not provide written notice of its interest within the aforementioned ** period, then Onconova would have the right to conduct such activities either itself or with or through an Affiliate or Third Party in the Licensed Territory, provided that Onconova shall not grant to a Third Party a license or right to conduct such activities on terms that are materially more favorable, taken as a whole, to such Third Party than the terms last offered by SymBio to Onconova therefor unless it first offers SymBio the opportunity to obtain such license or right on such terms, and SymBio notifies Onconova within ** after receiving such notice that SymBio has decided it is not interested in obtaining such license or right on such terms. “Related Compound” means any **.

Notwithstanding the foregoing, if, on or before the date that is thirty (30) days after any applicable Refusal Date, Landlord enters into a letter of intent to lease such Offering Space and gives Tenant written notice thereof identifying the other party to such letter of intent (the “Deal Notice”), then Landlord shall have one hundred twenty (120) days after the date of the Deal Notice to enter into a lease with the bona fide prospect identified in the Deal Notice before Tenant’s Right of First Offer with respect to such Offering Space shall re-accrue under clause (y) above (but this shall not affect any potential re-accrual of such right under clause (x) above). After Landlord has leased the Offering Space to a third party in accordance with the provisions of this Section VII, Tenant shall have no further right to lease such Offering Space pursuant to this Section VII.

  • Waiver of Right of First Refusal The Company hereby waives any preexisting rights of first refusal applicable to the transactions contemplated hereby.

The foregoing sentence shall apply to successive amendments to the terms and conditions of any proposed Future Offering. The Right of First Refusal shall not apply to any transaction involving (i) issuances of securities in a firm commitment underwritten public offering (excluding a continuous offering pursuant to Rule 415 under the 1933 Act), (ii) issuances to employees, officers, directors, contractors, consultants or other advisors approved by the Board, (iii) issuances to strategic partners or other parties in connection with a commercial relationship, or providing the Company with equipment leases, real property leases or similar transactions approved by the Board (iv) issuances of securities as consideration for a merger, consolidation or purchase of assets, or in connection with any strategic partnership or joint venture (the primary purpose of which is not to raise equity capital), or in connection with the disposition or acquisition of a business, product or license by the Company. The Right of First Refusal also shall not apply to the issuance of securities upon exercise or conversion of the Company’s options, warrants or other convertible securities outstanding as of the date hereof or to the grant of additional options or warrants, or the issuance of additional securities, under any Company stock option or restricted stock plan approved by the shareholders of the Company.

  • Grant of Right In addition to the demand right of registration described in Section 5.1 hereof, the Holder shall have the right, for a period of no more than two (2) years from the Initial Exercise Date in accordance with FINRA Rule 5110(g)(8)(D), to include the Registrable Securities as part of any other registration of securities filed by the Company (other than in connection with a transaction contemplated by Rule 145(a) promulgated under the Securities Act or pursuant to Form S-8 or any equivalent form); provided, however, that if, solely in connection with any primary underwritten public offering for the account of the Company, the managing underwriter(s) thereof shall, in its reasonable discretion, impose a limitation on the number of Shares which may be included in the Registration Statement because, in such underwriter(s)’ judgment, marketing or other factors dictate such limitation is necessary to facilitate public distribution, then the Company shall be obligated to include in such Registration Statement only such limited portion of the Registrable Securities with respect to which the Holder requested inclusion hereunder as the underwriter shall reasonably permit. Any exclusion of Registrable Securities shall be made pro rata among the Holders seeking to include Registrable Securities in proportion to the number of Registrable Securities sought to be included by such Holders; provided, however, that the Company shall not exclude any Registrable Securities unless the Company has first excluded all outstanding securities, the holders of which are not entitled to inclusion of such securities in such Registration Statement or are not entitled to pro rata inclusion with the Registrable Securities.
