Group Payment Arrangement. (a) ConocoPhillips shall procure that the UK Nominated Company will, in accordance with the UK GPA, give notice to HM Revenue & Customs to the effect that all members of the Xxxxxxxx 66 Group will cease from the Distribution to be members of the same group of companies as the UK Nominated Company within the meaning of section 36 of the Finance Xxx 0000 or section 59F of the Taxes Management Xxx 0000.
Group Payment Arrangement. 14.1 The Buyer covenants to procure that the Target pays to the Seller an amount equal to any corporation tax which the Nominated Company is required to pay in respect of events occurring after Completion in respect of the Target pursuant to the GPA (the “Payment”).
Group Payment Arrangement. 4.1 The Purchaser shall procure that each Target Company which is a member of the Seller’s group payment arrangement made pursuant to section 36 of the Finance Act 1998 or section 59F of the Taxes Management Act 1970 (the GPA) contributes to Xxxxx Xxxxxx and Sons Public Limited Company (the Nominated Company), within ten Business Days after written demand is made therefor (or, if later, two Business Days before the amount becomes due and payable to HMRC), an amount equal to any instalment of Corporation Tax which is to be or has been discharged by the Nominated Company on behalf of the Target Company in question pursuant to the GPA (as certified by the Nominated Company); provided that no such contribution shall be made to the extent that such contribution was made prior to or at Closing.
Group Payment Arrangement. (a) Promptly following the date of this Agreement, Seller shall procure (so far as Seller is reasonably able to do so) that UK MF HoldCo ceases to be nominated company of any group payment arrangement under section 59F-59H of the UK Taxes Management Act 1970 (the “GPA”) and shall, promptly following completion of the UK Internal Reorganization, notify HMRC (or procure that HMRC is notified) that the Transferred Group Companies have ceased to be or will cease to be part of such GPA, with effect from no later than the Closing Date.
