HANDLING OF GOVERNMENT-FURNISHED ITEMS. The Contractor must protect from unauthorized disclosure any materials or information provided by the Government, or that the Contractor has access to by virtue of the provisions of the MOA, that the Government has not designated for public disclosure. These material and information are the exclusive property of the Government. Upon completion or termination of a contract or task order, the Contractor must turn over to the Government all materials (copies included) that the Government furnished to the Contractor and all materials that the Contractor developed in the performance of the contract or task order, as these materials are the exclusive property of the Government. The Government may direct alternate disposition of GFI.

HANDLING OF GOVERNMENT-FURNISHED ITEMS. The Industry Partner shall protect from unauthorized disclosure any materials or information made available by the Government, or that the Industry Partner has access to by virtue of the provisions of this Contract, that the Government has not designated for public disclosure. The material and information made available to the Contractor by the Government are the exclusive property of the Government. Any information or materials developed by the Contractor in performance of this Contract are also the exclusive property of the Government (unless specifically excepted by Section I clause selection). Within 30 days after resolution of the matter, Provider shall notify OIG, in writing, of the resolution of the investigation or legal proceeding.

  • Compliance with Government Regulations The Company covenants that if any share of Common Stock required to be reserved for purposes of exercise or conversion of Warrants require, under any federal or state law or applicable governing rule or regulation of any national securities exchange, registration with or approval of any governmental authority, or listing on any such national securities exchange, before such shares may be issued upon exercise, the Company will use its commercially reasonable efforts to cause such shares to be duly registered, approved or listed on the relevant national securities exchange, as the case may be.

  • Government Regulations Notwithstanding anything contained herein to the contrary, the Company’s obligation hereunder to issue or deliver certificates evidencing shares of Common Stock shall be subject to the terms of all applicable laws, rules and regulations and to such approvals by any governmental agencies or national securities exchanges as may be required.
