HIGHWAY OPERATIONS a. The expanded utilization of Transportation Operation Centers (TOC) to provide traffic information to motorists through dynamic message signs and the Mi Drive website.
HIGHWAY OPERATIONS. Having regard for the differing operational conditions that may exist from one area to another, the Company and the Local may institute Rules and Regulations that are mutually agreed upon. Such Rules arid Regulations must be reduced to writing and signed by the parties. In the event of any dispute concerning such agreed upon Rules and Regulations, either party this Agreement reserves the right to rely on the terms of this Agreement which shall govern. ARTICLE
HIGHWAY OPERATIONS. Any downtime hours caused by mechanical failure, or by major traffic tie up (verifiable through highway authorities), or by ice or snow conditions will be paid for at the regular hourly rate up to a maximum of eight hours for any twenty-four hour day. Loading and unloading time will be paid at the hourly rate, subject to conformity with reporting requirements as specified by the Company. Fifteen minutes of hourly rated pay shall be allowed at the start and finish of each shift involving mileage rate operation away from the home terminal. In cases of multiple pickups or deliveries, mileage will be paid on the highway miles, with pickup or delivery times at intermediate points paid at the hourly rate. Switch time will be paid for on an hourly basis. Where a driver encounters a delay exceeding one hour at a customer's, waiting or loading or unloading, it is required that the driver report by telephone to his dispatch (unless conditions render this impossible). The driver in such circumstances must also ensure that the waiting and loading or unloading time is authenticated by the customer by notation on his trip sheet or shipping document. If it becomes necessary to use a circuitous route due to load dimensions or road obstructions, 'hourly rating will apply. Hourly rating will also apply when the nature of the load prevents normal highway speeds. Mileage will be determined in accordance with the Canadian Household Goods Carrier's Mileage Guide, and the Household Goods Carriers' Bureau Mileage Guide (U.S.). ARTICLE

  • Business Operations Company will provide all necessary equipment, personnel and other appurtenances necessary to conduct its operations. Company will conduct its business operations hereunder in a lawful, orderly and proper manner, considering the nature of such operations, so as not to unreasonably annoy, disturb, endanger or be offensive to others on the Airport. Company will provide all services under this Agreement on a fair and reasonable basis to all users of the Airport. Service will be prompt, courteous and efficient.

  • Safe Operations Notwithstanding any other provision of this Agreement, an NTO may take, or cause to be taken, such action with respect to the operation of its facilities as it deems necessary to maintain Safe Operations. To ensure Safe Operations, the local operating rules of the ITO(s) shall govern the connection and disconnection of generation with NTO transmission facilities. Safe Operations include the application and enforcement of rules, procedures and protocols that are intended to ensure the safety of personnel operating or performing work or tests on transmission facilities.

  • MAINTENANCE OF OPERATIONS The Company shall maintain operations at the Project for a minimum of ten (10) years beginning on the date the Project is Placed in Service. In addition to any other rights the Department may have under the terms of this Agreement, in the event that the Company discontinues of operations at the Project, such discontinuation may subject the Company to certain statutory provisions, including:

  • School Operations The School’s governing board shall be solely responsible for the operation of the school and exercise continuing oversight over the School’s operations. The School’s governing board will define and refine policies regarding educational philosophy, and oversee assessment and accountability procedures to assure that the School’s student performance standards are met or exceeded.

  • Interim Operations (a) The Company covenants and agrees as to itself and its Subsidiaries that, from and after the execution of this Agreement and prior to the Effective Time (unless Parent shall otherwise approve in writing, which approval shall not be unreasonably withheld, conditioned or delayed, and except as (1) required by applicable Law, (2) expressly required by this Agreement or (3) otherwise expressly disclosed in Section 6.1(a) of the Company Disclosure Letter), the Company shall use its reasonable best efforts to conduct its business and the business of its Subsidiaries in the ordinary course of business consistent with past practice and each of the Company and its Subsidiaries shall, subject to compliance with the specific matters set forth below, use reasonable best efforts to preserve its business organization intact and maintain the existing relations and goodwill with Governmental Entities, customers, suppliers, distributors, licensors, creditors, lessors, employees and business associates and others having material business dealings with it and keep available the services of the Company and its Subsidiaries’ present employees and agents. Without limiting the generality of, and in furtherance of, the foregoing, the Company covenants and agrees as to itself and its Subsidiaries that, from and after the date of this Agreement and prior to the Effective Time, except (A) as required by applicable Law, (B) as Parent may approve in writing (such approval not to be unreasonably withheld, conditioned or delayed), (C) as expressly disclosed in Section 6.1(a) of the Company Disclosure Letter or (D) as expressly provided for in this Agreement, the Company shall not and will not permit any of its Subsidiaries to:

  • Operations As of the date hereof, the Company has not conducted, and prior to the IPO Closing the Company will not conduct, any operations other than organizational activities and activities in connection with offerings of its securities.

  • System Operations Each party, at its own expense, shall provide and maintain the equipment, software, services and testing necessary to transmit Data Communications to, and receive Data Communications from the parties’ respective Receipt Computers.

  • Processing operations The personal data transferred will be subject to the following basic processing activities:

  • Emergency Operations 6:01 In the event of an emergency which could endanger the health or safety of the public, employees shall unite to meet the emergency and shall, until the danger has been brought under control, perform such duties as may be required of them regardless of their occupation.
