Hosted Services Fees. Client understands and agrees that the rights granted to Client in and to the Hosted Services are conditioned upon Client’s payment of those amounts as set forth on (i) any Order Form or (ii) invoice issued by UPS Customer Solutions referencing this Client Agreement (“Hosted Services Fees”). During the Term, Client may request changes to the quantity and types of Hosted Services components available to Client pursuant to these Hosted Services Terms, and such changes will be valid and effective when Client fully pays the amounts specified in an applicable Order Form, change order, or invoice subsequently issued by UPS Customer Solutions that reflects the requested changes. Client agrees that UPS Customer Solutions is entitled to implement an annual rate increase of up to five percent (5%) of the then current Hosted Services Fees, effective on each anniversary of the effective date of the applicable Order Form for Hosted Services.

Fees for the ServiceOutsourcing/Yellow Pages service are payable upon dispatch in any event even if the service is not provided for any reason, including unit no longer needing service, unit exchange, repair too costly, unit under warranty, customer cannot be located, customer not available, call cancelled, duplicate calls and calls booked to an existing member of the Servicer Network.
