Hourly and Project Based Services. Hourly Rates. If District requests an Additional Service, it will be performed pursuant to Our Hourly Rates set forth in Appendix II. Quoted Projects. At times, service requests and projects that are outside the scope of District’s Managed Service Plan can be performed more cost effectively as a “Quoted “Project,” i.e. a project performed pursuant a written proposal and agreement setting forth the scope of work with the estimated costs, rather than pursuant to Contractor’s regular hourly rates. If the Parties agree that a service should be performed as a Quoted Project rather than a task billed hourly, such Quoted Projects will be performed at the costs, fees and terms set forth in a separate Statement of Work or other written instrument signed by District and Contractor. Managed Service Plan – Monthly Fee The Basic Services included in the Managed Services Plan listed in Appendix I are provided at the following fees: Term Monthly Managed Service Fee July 1, 2024 – June 30, 2025 $12500 Any services, tasks, and goods not specifically listed as included in Appendix I are excluded from the Monthly Fee, and will be invoiced separately as Additional Services at the rates specified in the table below, or as otherwise agreed by District and Contractor pursuant to a written proposal, quote or service request. Critical asset counts will be reviewed on a yearly basis, and the Monthly Fee may be adjusted if a substantial amount is added to support for the remainder of the Term. Annual Fee Increase. In order to account for rising operating costs, cost of inflation and price increases by our vendors and suppliers, the Monthly Fee provided above may be subject to an annual increase of 3-5% each calendar year, on the anniversary of the signing of this Agreement. The fee increase applies to all contracts regardless of term and will be communicated to District no less than 30 days in advance of the increase. Contractor guarantees that the rate of increase will never exceed 5%, a change in Monthly Fee as described in this paragraph shall not serve as grounds for terminating this Agreement.

  • Interconnection Customer Compensation If the CAISO requests or directs the Interconnection Customer to provide a service pursuant to Articles 9.6.3 (Payment for Reactive Power) or 13.5.1 of this LGIA, the CAISO shall compensate the Interconnection Customer in accordance with the CAISO Tariff.

  • Existing Services In the disconnection and sealing of services the Contractor is to comply with the requirements of the Authorities concerned and is to allow in his prices for serving all notices and paying all fees as necessary. The Contractor must take all necessary precautions and will be responsible for damage caused to any underground cables or services which exist on site.

  • Transportation Services i) In the event that transportation services for a student served by CONTRACTOR pursuant to an Individual Services Agreement are to be provided by a party other than CONTRACTOR or the LEA or its transportation providers, such services shall be reflected in a separate agreement signed by the parties hereto, and provided to the LEA and SELPA Director by the CONTRACTOR. Except as provided below, CONTRACTOR shall compensate the transportation provider directly for such services, and shall charge the LEA for such services at the actual and reasonable rates billed by the transportation provider, plus a ten percent (.10) administrative fee, unless a “flat rate” is provided in the transportation contract. In the event that the transportation provider notifies the LEA or SELPA Director that CONTRACTOR is more than 90 days behind in payment for transportation services, LEA shall have the right, in its sole and exclusive discretion, but not the obligation, to make payment for such services directly to the transportation provider, and to deduct such payments from any sums owed to CONTRACTOR pursuant to this Master Contract and any Individual Services Agreement between the parties. In the event that the LEA makes direct payment of the transportation provider’s charges, it shall be entitled to withhold both the transportation charges themselves and such additional amount as shall be reasonably necessary to compensate the LEA for the staff and other costs incurred in making direct payment of those charges. The remedies provided to the LEA pursuant to this Paragraph shall not be exclusive. CONTRACTOR shall not include transportation through the use of services or equipment owned, leased or contracted through the LEA unless expressly provided in the Individual Services Agreement for the student transported.
