IN-WARRANTY REPAIR. 17.1 AMS shall cover parts costs and Distributor shall cover labor costs for field repair during the warranty period as set forth in ARTICLE 16. 1. In such case, Distributor may purchase replacement parts for no charge from AMS. 17.2 If Warranty Products are returned to AMS, then parts and labor costs for returned Products are covered by AMS. Distributor or its customer must pay for transportation, insurance and handling charges of shipment of Product to AMS for repair or replacement. Repaired or replaced Warranty Products will be returned to sender at AMS's expense 17.3 Distributor shall perform installation services at Distributor's expense.

IN-WARRANTY REPAIR. If Warranty Goods are returned to MANUFACTURER, then parts, labor costs for returned Products and transportation, insurance and handling charges of shipment of Product to MANUFACTURER for repair or replacement are covered by MANUFACTURER. Repaired or replaced Warranty Products will be returned to sender at MANUFACTURER's expense.

In case of field repairs by the Distributor, the Distributor may purchase replacement parts for no charge from AMS and the labor costs will be reimbursed by AMS. 17.2 If Warranty Products are returned to AMS as more closely specified in Exhibit 3 hereto, then parts and labor costs for returned Products and transportation, insurance and handling charges of shipment of Product to AMS for repair or replacement and other possible costs/expenses are covered by AMS. Repaired or replaced Warranty Products will also be returned to sender at AMS's expense. 17.3 Distributor shall perform installation services at Distributor's expense.
IN-WARRANTY REPAIR. In the event DMC Stratex returns to MTI a non-conforming Product, covered under the warranty set forth in Section 11.2, MTI shall repair and return the non-conforming Product within ten (10) business days of the receipt of such non-conforming Product. In the event MTI fails to timely provide the foregoing remedy, MTI shall promptly issue a credit to DMC Stratex for the returned non-conforming Product.

  • Warranty of Title Seller warrants that at the time of signing this Agreement, Seller neither knows, nor has reason to know, of the existence of any outstanding title or claim of title hostile to the rights of Seller in the goods.

  • Repair or Replacement Except where an appraisal has been made, the Insurer, instead of making payment, may, within a reasonable time, repair, rebuild or replace the property damaged or lost with other of like kind and quality if, within seven days after the receipt of the proof of loss, it gives written notice of its intention to do so.

  • Repair (a) Tenant, at its sole cost and expense, shall take good care of the Premises, including all building equipment and systems located therein and serving the Premises. Tenant shall make all repairs, interior or exterior, structural or otherwise, as and when needed, to preserve the Premises, the need for which repair arises out of (i) the performance or existence of any Alteration to the Premises made by Tenant, (ii) the installation or operation of Tenant's property or fixtures, and the movement of same in or about the Premises or the Building, (iii) the acts, failures to act or negligence of Tenant or Tenant's servants, employees, contractors, agents, visitors or licensees, or (iv) the use, of the Premises by Tenant or Tenant's servants, employees, contractors, agents, visitors or licensees. Landlord shall not be liable for and, except as provided in Paragraph 20, there shall be no abatement of Rent with respect to any injury to or interference with Tenant's business arising from any repairs, maintenance, alteration or interruption of services in or to any portion of the Office Park or Building, including the Premises, or to the fixtures, appurtenances and equipment therein. (b) All repairs and replacements made by or on behalf of Tenant shall be made and performed in a workmanlike manner (i) at Tenant's cost and expense and at such time and in such manner as Landlord may designate, (ii) by contractors approved by Landlord, (iii) such work shall be at least equal in quality, value, and utility to the original work or installation, and (iv) in accordance with the Rules and Regulations for the Building adopted by Landlord from time to time and in accordance with all applicable laws and regulations of governmental authorities having jurisdiction over the Premises. If Tenant shall fail after 10 days' notice by Landlord to proceed with due diligence to make repairs required to be made by Tenant, Landlord may make the repairs at the expense of Tenant and the expenses thereof incurred by Landlord shall be reimbursed immediately as Additional Rent after submission of a xxxx or statement there for.

  • WARRANTY OF TITLE TO GAS 1. Seller warrants the title to all gas delivered hereunder and the right to sell the same and that such gas shall be free and clear from all liens and adverse claims.

  • Warranty Work Failure by the Contractor to take corrective action within twenty four (24) hours after personal or telephonic notice by the County's OC Public Works on items affecting essential use of the facility, safety or the preservation of property, and within ten (10) calendar days following written notice on other deficiencies, will result in the County taking whatever corrective action it deems necessary. All costs resulting from such action by the County will be claimed against Contractor or, if necessary, the Contractor's Performance Bond.

  • Equipment Warranty Sunrun warrants all equipment for the duration of the Initial Term. If parts fail during the term of this Agreement, Sunrun will use commercially reasonable efforts to replace them with like equipment; however, you acknowledge that due to parts availability and other factors, this may not be possible. Sunrun agrees that any change in equipment will not reduce the Guaranteed Output set forth in Section D.

  • Construction Warranty At the Closing, Seller shall assign to Buyer all construction warranties with respect to the Hotel, which assignment shall be in form and substance reasonably satisfactory to Buyer, including a warranty by the Contractor, for the period ending not sooner than one (1) year after the date the Hotel is Substantially Completed, in the form of the warranty attached hereto as Exhibit H (the “Construction Warranty”).
