Incentive Trips and Awards. From time to time, the Company may provide incentive trips and other awards to qualified LifeVantage Distributors. These awards or trips may be based on title and/or meritorious LifeVantage Distributor sales performance and are provided only to the person(s) listed on a qualifying LifeVantage Distributor Agreement, up to airfare for two such persons and hotel accommodations of one room. Incentive trips or awards may not be deferred for future acceptance and have no cash value. No payment or credit will be given to those who cannot or choose not to attend trips or to accept awards. Notwithstanding anything to the contrary herein, and although the Company may pay some or all of the costs of such incentive trips, the LifeVantage Distributor agrees to indemnify and hold harmless the Company from any claim, injury, loss or other damage sustained in association with the trip by the LifeVantage Distributor and/or its guests to include visits and/or trips to LifeVantage offices. The LifeVantage Distributor cannot make claim upon, or rely upon, any insurance policy of the Company to cover the costs and expenses of any injury, loss or other damage to the LifeVantage Distributor and/or the LifeVantage Distributor’s guests. The Company may be required by local law to include the fair market value of any incentive awards, trips, etc. on the LifeVantage Distributor’s end of the year tax report. The LifeVantage Distributor is liable for all applicable taxes and agrees to hold the Company harmless from claims of tax liability relating to these incentive trips and awards. If it is discovered that the LifeVantage Distributor has made any misrepresentations or has violated the Agreement in becoming eligible for these incentive trips and awards, the Company may charge the LifeVantage Distributor for any costs incurred by the Company or for any benefits or awards received by the LifeVantage Distributor. The Company reserves the right at its sole and absolute discretion to disallow participation for any reason it deems necessary.

These awards or trips may be based on title and high Independent Consultant performance and are provided only to the person(s) listed on a qualifying Independent Consultant Agreement, up to airfare for two (2) such persons and hotel accommodations of one (1) room. Incentive Trips and Awards. TLC may, in its sole discretion, provide incentive trips and other awards to qualified IBOs. TLC will determine the guidelines and criteria for such awards. Those awards cannot be deferred, will have no cash value and, if required, TLC will issue a 1099 for the applicable amount. TLC, other than providing the applicable award, will not be responsible for any additional costs, fees or expenses incurred by an IBO with respect to such award. The IBO will indemnify, defend and hold TLC harmless from any claim, injury, loss or damages sustained by IBO or guest of IBO with respect to participation in such trip or award.

  • Incentive Awards a) The Executive shall participate in the Company's annual incentive plan for senior-level executives as in effect from time to time, subject to the performance standards set by the Compensation Committee. The Board or Committee, as applicable, will determine in its sole discretion whether you will be granted any such equity awards and the terms of any such award in accordance with the terms of any applicable plan or arrangement that may be in effect from time to time.
