Indemnification by ARI. ARI will indemnify, defend and hold harmless Manufacturer and Manufacturer’s Affiliates against all Damages arising from (1) any breach of any representation, warranty or covenant of ARI under this Agreement; or (2) any injury to persons or property from the Products that results from: (i) defects in designs provided by ARI; or (ii) defects attributable to Materials supplied by ARI pursuant to Section 3(e) of this Agreement.

Indemnification by ARI. ARI shall be fully liable for the actions of its agents, employees, partners, or subcontractors and shall fully indemnify, defend, and hold harmless County, and its officers, agents, and employees, from suits, actions, damages, and costs of every name and description, including attorneys’ fees, arising from or relating to personal injury and damage to real or personal tangible property alleged to be caused in whole or in part by ARI, its agents, employees, partners, or subcontractors, provided, however, that the ARI shall not indemnify for that portion of any loss or damages proximately caused by the negligent act or omission of County. Further, ARI shall fully indemnify, defend, and hold harmless County from any suits, actions, damages, and costs of every name and description, including attorneys’ fees, arising from or relating to violation or infringement of a trademark, copyright, patent, trade secret, or intellectual property right, provided, however, that the foregoing obligation shall not apply to County’s misuse or modification of the System. If any part of the System is the subject of an infringement suit, or in ARI’s opinion is likely to become the subject of such a suit, ARI may at its sole expense procure for County the right to continue using the product or to modify it to become non-infringing. If ARI is not reasonably able to modify or otherwise secure County the right to continue using the System, ARI shall remove the System at ARI’s sole expense. County shall not be liable for any royalties. ARI’s obligations under the preceding two paragraphs with respect to any legal action are contingent upon County giving ARI (1) written notice of any action or threatened action, (2) the opportunity to take over and settle or defend any such action at ARI’s sole expense, and (3) assistance in defending the action at ARI’s sole expense. ARI shall not be liable for any cost, expense, or compromise incurred or made by County in any legal action without ARI’s prior written consent, which shall not be unreasonably withheld.
Indemnification by ARI. ARI shall indemnify and hold harmless MKTG and Sellers from and against and in respect of any loss, damage, Liability, cost and expense, including reasonable attorneys' fees and amounts paid in settlement, and interest thereon, whether or not arising out of a third party claim or Action suffered or incurred by MKTG or Sellers by reason of or arising out of (a) any misrepresentation, or breach of any representation, warranty, covenant or agreement of ARI contained in this Agreement or in any Other Agreement; (b) ARI's failure to pay or perform any of the Assumed Liabilities, and (c) any Liability that arises after the Closing Date from ARI's operation of the Business; provided, however, that nothing contained in this Paragraph 9.5 shall obligate ARI to indemnify MKTG and Sellers with respect to any matter as to which MKTG and Sellers are obligated to indemnify an Indemnitee pursuant to Paragraph 9.1. The procedures governing indemnification in Paragraphs 9.2 and 9.3 shall also apply to claims brought under this Paragraph 9.5 and for such purposes, ARI shall be deemed to be the "Indemnitor" referred to therein and MKTG and Sellers shall be deemed the "Indemnitee".
Indemnification by ARI. ARI shall indemnify the ARI Shareholders and hold them harmless from any loss, liability, claim, damage or expense (including reasonable legal fees and expenses) suffered or incurred by any such indemnified party (other than any relating to Taxes, for which indemnification provisions are set forth in Section 7) to the extent arising from (i) any breach of any representation or warranty of ARI and AHC contained in this Agreement, certificate, instrument or other document delivered by it pursuant hereto, or (ii) any breach of any covenant of ARI and AHC contained in this Agreement.
