Indemnification for Negligence or Misconduct. Employee shall indemnify and hold Employer harmless from all liability for loss, damage, or injury to persons or property resulting from the gross negligence or intentional misconduct of the Employee.

Employer shall maintain directors and officers liability insurance in such amounts as are reasonably customary and which policies of insurance shall name Executive as an insured thereunder (by definition or rider to the policy).

Executive shall indemnify and hold Content Checked harmless from all liability for loss, damage, or injury to persons or property resulting from the negligence or misconduct of Executive which are not covered by Directors and Officers liability insurance, or errors and omissions insurance which Content Checked offers to provide.

Global will and at all times hold AquaDyne and its employees, representatives, officers, directors and assigns, harmless from and indemnified against any loss, costs, damage, injury to persons or property, actions, claims, demands, expenses, judgments, court orders or other liabilities arising directly or indirectly out of or in connection with the misconduct, negligence or recklessness, or intentional acts or omissions of the Contractor or the Contractor's employees, subcontractors, representatives, agents or assistants, or related in any manner to the performance or failure to perform the Services by the Contractor or its employees, subcontractors, representatives, agents or assistants.
