Duties and Activities. During the Term of Employment, Employee --------------------- will faithfully perform those duties and responsibilities consistent with his position as President and Chief Executive Officer. Employee shall have general supervision and control over, and responsibility for, the general management and operation of Employer and its subsidiaries. Employee shall have the authority, subject to the advice and consent of the Board as required by contract or law, to employ and/or terminate the employment of any employee of Employer or any subsidiary. Employee will devote his full working time and use his best efforts to advance the business and welfare of Employer in furtherance of the policies established by the Board. Employee shall report only to the Board or any committee thereof. During the Term of Employment, Employee shall not engage in any other employment activities for any direct or indirect remuneration without the concurrence of the Board except that Employee may continue to devote reasonable time to (i) the management of investments, (ii) participation in community and charitable affairs, and (iii) as further set forth in Exhibit A hereto, so long as such activities do not interfere with his duties under this Agreement in the discretion of the Board, and so long as such activities do not exceed four (4) days per calendar quarter. Employee hereby agrees that, except as disclosed on Exhibit A hereto, during his employment --------- hereunder, he will not, directly or indirectly, engage (a) individually, (b) as an officer, (c) as a director, (d) as an employee, (e) as a consultant, (f) as an advisor, (g) as an agent (whether a salesperson or otherwise), (h) as a broker, or (i) as a partner, coventurer, stockholder or other proprietor owning directly or indirectly more than one percent (1%) interest in any firm, corporation, partnership, trust, association, or other organization that is engaged in the development, marketing or sales of wide area network equipment and products for the Computer Telephony Integration ("CTI") market in direct geographical competition, with Employer or any other line of business engaged in by Employer (such firm, corporation, partnership, trust, association, or other organization being hereinafter referred to as a "Prohibited Enterprise"). Except as may be shown on Exhibit A hereto. Employee hereby represents that he is not engaged in any of the foregoing capacities (a) through (i) in any Prohibited Enterprise.

Duties and Activities. 3.1. Each Liaison Officer shall represent the Parent Party to the Host Party. Each Liaison Officer shall not perform duties reserved by the laws or regulations of the Host Government to officers or employees of the Host Government, nor shall a Liaison Officer provide any labor or services to the Host Government or any of its agencies, including the Host Party. 3.2. Access to Host Party facilities may be granted if such access promotes the purposes of this MOA, is consistent with the terms of any applicable certification or approval issued by the Host Government, and is permitted under the applicable policies, procedures, laws, and regulations of the Host Government. Approval of such requests shall be at the discretion of the Host Party. Any request for access that exceeds the terms of an applicable certification or approval shall be submitted through the Contact Officer. 3.4. Liaison Officers shall not be granted access to technical data or other information of the Host Party, whether or not classified, except as authorized by the Host Party, and only to the extent necessary to fulfill the Liaison Officer's functions hereunder. 3.5. All information to which a Liaison Officer is granted access while serving as a Liaison Officer to the Host Party shall be treated as information provided in confidence to the Parent Government and shall not be further released or disclosed by the Liaison Officer to any other person, firm, organization, or government without the prior written authorization of the Host Government. Disclosure of information to a Liaison Officer shall not be deemed to be a license or authorization to use such information for any purpose other than the purposes described in Article II (Scope) of this MOA. 3.6. Each Liaison Officer shall not be permitted to participate in exercises, deployments, or civil-military actions, unless expressly authorized to do so in writing by both the Host Party and the Parent Party. 3.7. Duties and Activities. Trainee shall spend time observing, learning, and beginning to function in the various roles of a school psychologist (i.e., assessment, attending team meetings, individual and/or group counseling, consultation, parent meetings, etc.). Trainee will participate in specific activities agreed to during a discussion with the School supervisor: Xxxxxxx must conduct a case study for PSY 433 Social Emotional and Behavioral Assessment course at the start of the spring semester. Although the School supervisor will not supervise this case, the School supervisor should facilitate the selection of the child for the case study. The School supervisor will receive more information from Trainee about the case study requirements.

Duties and Activities. 1. The school year shall consist of one hundred ninety (190) days. Any orientation and in-service days are to be included within these one hundred ninety (190) days. The System reserves the right to schedule all one hundred ninety (190) days. Effective with the 2013-2014 school year, the System shall be permitted to schedule one (1) teacher day at the local school on the Tuesday, Wednesday or Thursday prior to Labor Day of each contract year. This day shall be included in the one hundred ninety (190) days. 2. Except in emergency situations, the school day shall not exceed seven (7) hours. Every teacher shall be present from the start of the school day until the end of the teacher’s school day. Consideration should be given in time allocated for meetings after school in relation to Middle States, changes in scheduling and restructuring/merger.
