Duties and Activities. During the Term of Employment, Employee will --------------------- faithfully perform those duties and responsibilities commensurate with his position as Co-founder and Vice President. Employee shall participate in business development and sales and shall perform such other responsibilities and duties as may be reasonably determined in the future by the Company's Board of Directors (the "Board") or Chief Executive Officer. Employee will devote his full working time and use his best efforts to advance the business and welfare of the Company in furtherance of the policies established by the Board. Employee shall report to officers on the Senior Vice President level, or such senior officers as the CEO may determine. During the Term of Employment, Employee shall not engage in any other employment activities for any direct or indirect remuneration without the concurrence of the Board, except that Employee may continue to devote reasonable time to the management of investments, participation in community and charitable affairs, and the activities as further set forth in Exhibit A hereto, so long as such activities do not interfere with --------- his duties under this Agreement (as reasonably determined by the Board). Employee hereby agrees that, except as disclosed on Exhibit A hereto, during his --------- employment hereunder, he will not, directly or indirectly, engage (i) individually, (ii) as an officer, (iii) as a director, (iv) as an employee, (V) as a consultant, (vi) as an advisor, (vii) as an agent (whether a salesperson or otherwise), (viii) as a broker, or (ix) as a partner, coventurer, stockholder or other proprietor owning directly or indirectly more than one percent (1%) interest in, any firm, corporation, partnership, mast, association, or other organization that is a Competitor (as defined in Section 8.1 hereof) of the Company (such engagement by Employee hereinafter referred to as a "Prohibited Engagement"). Except as may be shown on Exhibit A hereto, Employee hereby represents that he is not engaged in any of --------- the foregoing capacities (i) through (ix) in any Prohibited Engagement.

Duties and Activities. 3.1. Each Liaison Officer shall represent the Parent Party to the Host Party. Each Liaison Officer shall not perform duties reserved by the laws or regulations of the Host Government to officers or employees of the Host Government, nor shall a Liaison Officer provide any labor or services to the Host Government or any of its agencies, including the Host Party.
3.2. Each Liaison Officer shall be required to comply with all applicable Host Government policies, procedures, laws, and regulations. The Host Party shall assign a Contact Officer to provide guidance to the Liaison Officer concerning policies, procedures, laws, and regulations of the Host Party, and to arrange for activities consistent with such requirements and the purposes of this MOA.
3.3. Each Liaison Officer may request access to Host Party facilities by submitting a request to the Contact Officer. Access to Host Party facilities may be granted if such access promotes the purposes of this MOA, is consistent with the terms of any applicable certification or approval issued by the Host Government, and is permitted under the applicable policies, procedures, laws, and regulations of the Host Government. Approval of such requests shall be at the discretion of the Host Party. Any request for access that exceeds the terms of an applicable certification or approval shall be submitted through the Contact Officer.
3.4. Liaison Officers shall not be granted access to technical data or other information of the Host Party, whether or not classified, except as authorized by the Host Party, and only to the extent necessary to fulfill the Liaison Officer's functions hereunder.
3.5. All information to which a Liaison Officer is granted access while serving as a Liaison Officer to the Host Party shall be treated as information provided in confidence to the Parent Government and shall not be further released or disclosed by the Liaison Officer to any other person, firm, organization, or government without the prior written authorization of the Host Government. Disclosure of information to a Liaison Officer shall not be deemed to be a license or authorization to use such information for any purpose other than the purposes described in Article II (Scope) of this MOA.
3.6. Each Liaison Officer shall not be permitted to participate in exercises, deployments, or civil-military actions, unless expressly authorized to do so in writing by both the Host Party and the Parent Party.

Duties and Activities. Trainee shall spend time observing, learning, and beginning to function in the various roles of a school psychologist (i.e., assessment, attending team meetings, individual and/or group counseling, consultation, parent meetings, etc.). Trainee will participate in specific activities agreed to during a discussion with the School supervisor: Xxxxxxx must conduct a case study for PSY 433 Social Emotional and Behavioral Assessment course at the start of the spring semester. Although the School supervisor will not supervise this case, the School supervisor should facilitate the selection of the child for the case study. The School supervisor will receive more information from Trainee about the case study requirements.

7.1.2 Obtain in-kind and cash contributions, including volunteer hours for the next Texas Reds Festival.
7.1.3 Employ and retain an executive director and staff for the DBA.
7.1.4 Conduct outer-market advertising to focus primarily on general tourism in Downtown.
7.1.5 Provide weekly cleanup service for publicly accessible or visible outside areas in the Downtown District.
7.1.6 Operate and staff a Downtown Bryan Visitor Center within the Queen Theatre between the hours of 11 a.m. - 5 p.m. Monday - Friday; Noon - 4 p.m. on Saturdays during Aggie home football games and selected weekends, based on events which are likely to bring visitors to Downtown Bryan.

Executive shall participate and perform such other responsibilities and duties as may be reasonably determined in the future by the Company's Chief Executive Officer ("CEO") or other officer designated in Exhibit A as Executive's Direct Supervisor. Executive will devote Executive's entire business time, attention and energy and use best efforts to advance the business and welfare of the Company in furtherance of the policies established by the CEO. Executive shall report to officers on the Senior Executive level (Senior Vice President, Executive Vice President, President, CEO) as the CEO may determine. Executive shall not engage in any other employment activities for any direct of indirect remuneration, except that Executive may continue to devote reasonable time to the management of personal investments, participation in community and charitable affairs, and the activities as further set forth in Exhibit B hereto, so long as such activities do not interfere with Executive's performance of his duties under this Agreement.
