Indemnification of Losses of Employee. Except for losses arising from the Employee's negligence or misconduct, the Employer shall indemnify the Employee for all losses sustained by the Employee as a direct result of the discharge of his duties required by this Agreement.
Indemnification of Losses of Employee. COMPANY shall, to the maximum extent permitted by law, indemnify EMPLOYEE against expenses (including reasonable attorney's fees), judgments, fines, settlements, and other amounts actually and reasonably incurred in connection with any proceedings arising by reason of the fact that EMPLOYEE is, or was, an employee, officer or agent of COMPANY. COMPANY shall advance to EMPLOYEE expenses incurred in defending any such proceedings to the maximum extent permitted by law. COMPANY's obligations under this Section shall not cease upon termination of this Agreement. EMPLOYEE may select legal counsel, at his sole discretion, to represent him in any such proceedings.
Indemnification of Losses of Employee. 6.01 Company shall indemnify and defend and hold harmless Employee for all necessary expenditures, losses or claims incurred by Employee in direct consequence of the discharge of his duties.

If Employer has not adequately provided for such defense when required, Employee shall be fully reimbursed for all reasonable cost of attorney(s) that may be employed or retained for the defense and/or counsel of Employee. 4 ARTICLE 4
